June 30, 2026 cash of $33.153 million was separate from $67.392 million of restricted funds. The Monroe term loans, $103.679 million of principal, mature December 31, 2026, and carry a $10 million minimum-liquidity covenant. Subsequent ATM proceeds strengthen financing resources but add shares; they do not prove that operating cash conversion has improved. At June 30, 2026 Rezolve had $33.153 million of unrestricted cash, $67.392 million of restricted cash and a $205.2 million working-capital deficit, while the Monroe term loans of $103.679 million principal fall due on December 31, 2026. The interim statements carry a substantial-doubt going-concern disclosure. Management lists cost savings, refinancing negotiations, the at-the-market programme and further debt or equity as its responses; it says it has historically been able to raise capital and believes its capital-raising efforts will probably succeed, while stating there can be no assurance. Rezolve AI is now a much larger commerce-software, services and loyalty group. First-half 2026 revenue was $130.788 million against $6.317 million a year earlier, mainly because of the Crownpeak and Reward acquisitions, and management has reiterated about $360 million of 2026 revenue and an exit annual recurring revenue target of at least $500 million. The other side of the ledger is cash: operating activities used $91.956 million in the half, adjusted EBITDA was negative $32.609 million, unrestricted cash was $33.153 million at June 30, and the Monroe term loans, $103.679 million of principal, mature on December 31, 2026, with a going-concern warning in the interim statements. The September 23 programme targets about $60 million of annualized savings and positive adjusted EBITDA for the month ending June 30, 2027, which the company itself separates from operating cash-flow breakeven. Since June, Rezolve has sold shares through its at-the-market programme while holding a shareholder mandate for buybacks of up to $300 million; court approval of the related capital reduction was announced on October 6, 2026, with repurchases yet to begin. Rezolve described how RezolvePay connects consumer AI agents with merchant-side ordering and payment infrastructure. A demonstration features Meta’s Muse placing a coffee order for collection. The company positions the architecture for compatible integrations across different consumer agents. This is a product demonstration and commercial strategy update: the release does not announce a contract with Meta, committed customer orders or new booked revenue. Rezolve received court approval for the capital reduction that shareholders approved in June, a step needed to implement its repurchase programme of up to $300 million through a proposed arrangement with BTIG. Purchases are expected to start once the remaining procedural steps for the reduction to take effect are completed, subject to market conditions, available capital and liquidity; the programme does not oblige the company to buy any shares, and no repurchase had been reported. Ahead of its Investor Day at Nasdaq MarketSite (webcast from 9:45 a.m. to about 1:00 p.m. EDT), Rezolve released its own U.S. AI Visibility Study 2026 covering 2,047 companies; it says 97 of the 100 largest U.S. retailers publish no way for an AI agent to complete a checkout. Mastercard will resell Rezolve’s AI commerce software, including conversational commerce, search and checkout orchestration, on a non-exclusive basis. The release states that the agreement does not guarantee customer orders, minimum purchase volumes or revenues; individual deployments require separate statements of work. Source

The commercial announcement is distinct from cash collected, and from Rezolve’s own cloud-spending commitments. The constructive case now requires customer deployments and infrastructure licensing to convert into reported revenue and cash sufficient to deliver the operating plan. The September 23 cost program adds a measurable commitment: approximately $60 million of annualized savings once implemented and positive adjusted EBITDA for the month ending June 2027. Those are management targets, not savings already collected or a promise of positive operating cash flow. Source Source
In this scenario, refinancing provides enough time for the operating improvement to become visible, and additional share issuance funds productive growth rather than repeatedly covering the same deficit. The outcome would be strongest if partner-led sales expand the gross-profit base while the company retains service quality and collects customer receivables promptly. Technical demonstrations and well-known partners would then be supported by financial evidence.
A middle scenario combines growing revenue with continuing cash use and further dilution. The September 1 outlook called for approximately $360 million of 2026 revenue. Against the reported first half, this implies a calculated $229.212 million in the second half, about 75.3% more than the first. Seasonality and deployments may support that acceleration, but the acquired operations also bring payroll, cloud costs, integration work and working-capital requirements. The company had already sold approximately 13.6 million shares through its at-the-market program for $39.9 million gross by the September 1 financial-statement issuance date. That financing is real and matters when interpreting the earlier cash balance. It also demonstrates why the June cash-to-burn ratio cannot be treated as an October cash-exhaustion countdown. The risk is not simply that sales miss a headline target. Revenue could rise while financing pressure persists because customers pay later, service costs remain high, or integration generates additional expenditure. A lower share price can also make an equity-funded response more dilutive. The negative scenario would strengthen if new announcements keep enlarging the opportunity while the financing timetable and cash conversion remain unresolved.
The analysis treats Rezolve as a larger commercial group that still needs better cash conversion and a workable financing bridge. Evidence that changes either element would change the reading.
These are observations that would weaken the interpretation, not forecasts of inevitable events.
The September 1 release reported more than 1,640 customers, versus more than 950 at year-end 2025. It also cited an S&P Global Market Intelligence forecast of $295 billion in annual AI data-infrastructure spending by 2030. That is an external market forecast, not Rezolve revenue guidance. Rezolve provides commerce software, enterprise technology services, checkout tools and loyalty platforms. The June 2026 management discussion separates Brain Commerce, Enterprise Services, Brain Checkout and Loyalty as business lines, while reporting the group as one operating segment. The commercial proposition combines product discovery and customer engagement with implementation, transactions and bank or retailer loyalty relationships. This is a broader business than a standalone AI chatbot or a pure software subscription. Source Source
The mix matters because revenue behaves differently across those activities. Subscription software is recognized over the service period; consumption-based software follows usage. Professional services depend on the delivery of work, while loyalty revenue includes transaction commissions, platform fees and specialized projects. An increase in the combined total can therefore reflect changes in customer activity, delivery schedules, acquired operations and the mix of services. It does not automatically carry the economics of high-margin recurring software. Source
The investment question is whether these activities reinforce one another commercially. Search and recommendation tools can support transaction completion, while loyalty data can improve customer engagement. Integration and deployment expertise can help enterprise customers use the software effectively. The financial benefit only appears when those connections generate additional sales or reduce delivery costs enough to cover the resources committed to them.
An integrated platform also creates coordination risk. Acquired products may have different sales cycles, systems, pricing and support requirements. Customers can take longer to deploy than a demonstration suggests, and selling through partners can change the share of revenue retained by Rezolve. The next operating disclosures need to show how the larger product portfolio affects customer retention, deployment time and gross profit. Describing all activity as AI does not answer those questions.
The materials filed on October 7 report December 2025 ARR of $232 million, H2 2025 revenue of $40.5 million and Q1 2026 revenue of approximately $60 million. ARR is an annualized contract measure, distinct from recognized revenue; these historical checkpoints do not establish subsequent cash collection. The presentation’s H1 bridge reconciles a $128.1 million operating loss with $41.5 million of share compensation, $20.4 million of depreciation/amortization and $33.6 million of exceptional items to a $32.6 million adjusted EBITDA loss. Its core-software margin above 90% is distinct from the 48.9% blended gross margin; adjusted EBITDA remains a non-GAAP measure. Primary source 1. Primary source 2.
The company confirmed that it held its Investor Day on October 6, 2026 and furnished the transcript and presentation. The event is complete; revenue recognition, financing and achievement of its targets remain separate tests. Investor Day filing.
In Merlintrader’s reading, the event will be most informative if management connects the platform story with commercial and financial conditions. Named deployment examples are more informative when they identify what is live, how the customer pays, and whether the relationship is expanding. A demonstration can establish a capability without showing that it has a material contract attached. Conversely, a modest deployment with a repeatable sales process can be financially more valuable than a technically impressive showcase.
The funding discussion is equally important. June liquidity and debt, later ATM proceeds and the September cost program describe different points in the company’s development. An update that bridges those points would help assess the resources available for execution. The most relevant information would concern collections, implementation costs, refinancing progress and the amount of additional capital required. These are analytical pass conditions for evaluating the event; management has not promised to disclose every item.
The next fixed debt date is December 31, 2026 for the Monroe facility, according to the June financial statements. That date is separate from the operating target for positive adjusted EBITDA in June 2027. The company needs to manage the intervening obligations even if the later earnings target is achievable. A confident presentation would be more persuasive if the financial timeline becomes as concrete as the product demonstrations. Source Source
The release issued on the morning of the event says management will cover strategy, market opportunity, commercial model and growth drivers, including partnerships, the product roadmap, customer adoption, operating discipline and the path toward long-term profitable growth, with live demonstrations. It names distribution through Microsoft, Google, TCS and Tech Mahindra. The chief executive said investors would see a business that has proven it can scale and is now turning that scale into profitability; that is a management characterisation, to be tested against reported collections, costs and the refinancing of the December maturity. The release itself contains no new financial figures, so the presentation materials now allow those claims to be assessed, but they do not establish that the operating targets have been achieved. Revenue was $130.788 million for the six months ended June 30, 2026, compared with $6.317 million in the corresponding 2025 period. The management discussion expressly warns that the periods are not directly comparable because the consolidated business expanded, particularly through Crownpeak and Reward. The growth is reported revenue, but the headline multiple cannot be read as a same-business organic growth rate. Source Source
Revenue less reported cost of revenue gives calculated gross profit of $63.944 million in H1 2026, equivalent to about 48.9% of sales. Operating loss was $128.082 million and net loss was $139.478 million for that period. Those results show why an expanding revenue base has not yet settled the financial question: substantial expenses sit below gross profit, and the business still needs external resources to support its operating model. The acquisition of Reward closed on February 10, 2026, with reported consideration of approximately $228.6 million, subject to the terms and adjustments in the financial statements. It added loyalty and engagement capabilities used by banks, payment networks and retailers. The first-half accounts therefore include only the post-acquisition contribution from that business, while also carrying the financing and integration consequences of the transaction. The next comparison needs to distinguish a fuller period of acquired revenue from improvement inside the acquired operations. Source Source
The acquisition thesis is supported only by growth that survives that distinction. Cross-selling, retained customers and successful new deployments would support the acquisition thesis. Revenue that rises chiefly because more businesses have been consolidated is less informative about the quality of the operating platform. Both can occur simultaneously, which is why margin, cash collection and the spending required to retain the customer base matter alongside the revenue total.
The final half-year figure came in above the company’s own preliminary estimate. On July 27, 2026, Rezolve said that, based on unaudited management accounts, it expected first-half revenue of about $127 million; the figure reported on September 1 was $130.788 million. For scale, the same July release puts audited revenue for the whole of 2025 at $46.8 million. Source Source
The geography of the half shows where the acquired businesses sit. The United Kingdom and Europe produced $103.935 million of revenue, North America $22.112 million and Asia Pacific $4.741 million, so about 79.5% came from the UK and Europe (a Merlintrader calculation). The statements also disclose that one customer accounted for more than 10% of revenue in the half, without naming it; in the first half of 2025 no customer crossed that threshold. Concentration of that kind makes the renewal or expansion of individual relationships more consequential than in a broadly spread customer base. Source
The expense lines are equally informative. General and administrative expenses were $118.793 million, including $31.755 million of related-party transactions identified in the statements, compared with sales and marketing of $19.785 million, research and development of $19.942 million and depreciation and amortization of $20.433 million. Interest expense was $9.182 million; cash paid for interest in the half was $4.096 million. Source
Working capital moved in a direction that matters for cash conversion. Accounts receivable and unbilled receivables doubled from $39.176 million at December 31, 2025 to $78.290 million at June 30, 2026, while deferred revenue fell from $46.501 million to $33.156 million. Some of the receivables increase may come from consolidating Reward rather than from slower collection; the statements do not split it. Merlintrader’s reading: rising receivables and falling customer prepayments both absorb cash, which helps explain why operating cash use was much larger than the adjusted EBITDA loss, and second-half collections are one of the more direct tests of the revenue outlook. On September 1, 2026, Rezolve reiterated approximately $360 million of full-year revenue guidance and a target of at least $500 million of annual recurring revenue as it exits the year. Subtracting reported H1 revenue produces a calculated H2 requirement of $229.212 million. Management attributes the expected second-half weighting to seasonal retail activity, enterprise deployment timing and partner-led distribution. These are expectations to test against subsequent delivery. Source Source
ARR and reported revenue answer different questions. The June management discussion defines ARR as the annualized recurring value of active customer arrangements, including recurring professional services. It excludes some non-recurring and usage-based revenue, and it depends on contract terms and continued customer activity. It is not cash received, a guarantee of renewals or a sum that can be added to annual revenue guidance. Source
The distinction becomes particularly important after acquisitions and when deployment timing matters. An active contract can increase an annualized operating metric before all the corresponding revenue has been recognized. Its economics still depend on the cost of supporting the customer, delivery obligations and payment terms. A rising ARR figure would be stronger evidence if accompanied by a credible explanation of retention, margin and collections.
The August 5, 2026 India announcement provided another measure: approximately $50 million of total contract value across India-led engagements. The release explicitly says this covers the contracts’ respective terms and is neither incremental to the annual guidance nor equivalent to revenue, ARR or cash receipts. It is useful context for the delivery organization, but adding it to guidance would count commercial activity twice. Each measure keeps its own role in the financial assessment. Source
At June 30, 2026, Rezolve reported $33.153 million of cash and equivalents and $67.392 million of restricted cash. The combined $100.545 million is a balance-sheet total that includes money not available for ordinary corporate spending. The management discussion identifies available liquidity as approximately $33.2 million. Using the larger total as freely spendable cash would materially overstate the cushion. Source Source
Operating activities used $91.956 million in H1 2026, a calculated average of $15.326 million per month. Adding $2.225 million of property and equipment purchases and $4.537 million of intangible investment produces a calculated consumption measure of $98.718 million, or $16.453 million per month. This definition excludes acquisitions and digital-asset purchases, keeping ordinary operating and platform investment separate from larger strategic transactions. Source
June unrestricted cash divided by that historical monthly measure is approximately 2.0 months. This is a mechanical comparison of dated figures, not a forecast of the cash remaining in October or a predicted insolvency date. Subsequent financing matters: the September 1 statements disclose $39.9 million of gross ATM proceeds. Collections, spending changes, financing costs and the cost-reduction program also alter the bridge. Adding gross proceeds to the June balance without accounting for intervening cash use would be just as misleading as ignoring them. Source Source
The statements describe a $205.2 million working-capital deficit and substantial doubt about the company’s ability to continue as a going concern. Management’s responses include cost savings, refinancing and additional debt or equity capital. Those plans deserve evaluation as plans, with their terms and execution visible. The existence of a financing mechanism improves flexibility but does not guarantee that enough capital can be raised on acceptable terms. Source
Management’s own assessment is part of the record. The interim statements say the company has historically been able to raise capital to support its operations and that, although there can be no assurance such efforts will be successful, management believes them to be probable; that judgment refers to raising capital, and the same note still concludes that substantial doubt exists. The plans listed are cost savings and operating efficiencies, negotiations with lenders to refinance existing short-term debt, additional debt or equity financing and the existing at-the-market programme, which the company describes as providing substantial available capacity. The note also cites $289.9 million of gross proceeds raised recently: $250.0 million from the January placement and $39.9 million through the ATM. Source
A separate balance-sheet line helps explain why restricted cash is not a corporate cushion. The statements record $41.097 million of advances from external parties, described as funding that loyalty-programme partners provide monthly into a designated account to settle customer cash-back redemptions expected over the following six to eight weeks. The filing does not reconcile that account line by line with the $67.392 million restricted-cash balance. Merlintrader’s reading is that money held for partner-funded redemptions is not available for payroll or debt service, which is consistent with management’s $33.2 million available-liquidity figure. The September 23, 2026 program targets approximately $60 million of annualized savings once fully implemented and substantially lower H2 cash burn on the company’s stated adjusted comparison. It targets positive adjusted EBITDA for the month ending June 30, 2027, rather than the entire first half. The release also separates that goal from operating cash-flow break-even. These distinctions prevent a cost target from being treated as money already saved. Source
H1 2026 adjusted EBITDA was negative $32.609 million, compared with a GAAP net loss of $139.478 million. The management discussion reconciles the measures and excludes, among other items, share-based compensation, certain transaction costs and Subsquid losses. Adjusted EBITDA helps track the company’s chosen operating view, but it does not include all obligations shareholders finance and does not replace the cash-flow statement. Source
The improvement needs to occur without damaging the activity that produces revenue. Closing overlapping offices and reducing duplicate functions can lower recurring expense; cutting implementation capacity too aggressively can slow deployments or weaken support. Shifting services to partners changes the delivery structure, but the economic outcome depends on partner charges, customer satisfaction and the gross profit Rezolve retains. Cost savings are most valuable when they make an existing revenue base more productive.
The next results will be more informative if they distinguish recurring improvements from the disappearance of exceptional expenditure. A smaller cash outflow can be meaningful even before operating break-even, provided the comparison uses the same definition and ordinary bills are not merely postponed. Payables, receivables and financing costs help determine that difference. The strongest evidence would combine a lower recurring cost base with retained customers and improved collections, rather than a single adjusted earnings milestone.
The release defines the burn comparison narrowly. For this purpose, cash burn excludes capitalization, share-based compensation, restructuring costs and acquisition costs, calculated consistently for the two halves of 2026. The company names cloud and technology infrastructure, staffing integration, professional services, property consolidation and spending allocation as the areas of action, and says that moving professional-services delivery to partners including TCS and Tech Mahindra is expected to improve gross margins. Against the first-half adjusted EBITDA margin of negative 24.9%, a positive margin in June 2027 would mean an improvement of at least 24.9 percentage points, in the company’s own framing. Restructuring and acquisition costs outside the definition still consume cash, so reported operating cash flow remains the broader measure. Source
The Monroe facility had a $102.661 million carrying amount at June 30, 2026. The underlying term-loan balance was $103.679 million before accrued interest and deferred financing costs. The amended facility matures December 31, 2026, carries Term SOFR plus 5.50%, and includes an additional 2.00% following specified defaults. Its financial covenants include a $10 million minimum-liquidity requirement; the company reported compliance at June 30. That dated compliance statement is not a guarantee about later periods. Source
The group also had promissory notes with $50 million aggregate principal at June 30, 2026. A $20 million tranche matures April 1, 2027 and a $30 million tranche December 31, 2027, both carrying 10% annual interest payable in cash or kind. Smaller borrowings and convertible obligations sit alongside those facilities. The maturity schedule means the financing issue extends beyond a single quarter even if the Monroe obligation is successfully addressed. Source
Refinancing can improve the timing profile without eliminating the economic cost. An extension might involve interest, fees, collateral, restrictions or equity-linked consideration. Until terms are announced, the outcome cannot be reduced to a binary assumption that the facility will either disappear or immediately force failure. The relevant question is how a negotiated solution changes cash obligations and the claims ahead of ordinary shareholders.
The liquidity covenant also makes a simple cash-to-burn calculation incomplete. A borrower may need to preserve specified liquidity and satisfy other contractual conditions before its bank balance reaches zero. The June available-cash figure is therefore not an amount that can all be spent without considering lender protections. This is why the financing terms and operating cash trend belong together in any assessment of the company.
As of October 5, 2026, neither an SEC filing nor a company release had announced an amendment, extension or repayment of the Monroe facility. After December 31, 2026, the next contractual maturities are the $20 million promissory-note tranche on April 1, 2027 and the $30 million tranche on December 31, 2027, both carrying 10% interest payable in cash or in kind. Ordinary shares increased from 336,327,587 at December 31, 2025 to 416,868,894 at June 30, 2026. The January financing issued 62.5 million shares at $4.00 for $250 million gross, while option exercises and acquisition consideration also increased the count. These are actual dated shares, distinct from the weighted-average denominator used to calculate the loss per share. Source
The ATM agreement permits up to 48,034,860 shares. By the September 1, 2026 issuance of the interim statements, approximately 13.6 million had been sold at prices ranging from $2.50 to $3.09, producing $39.9 million gross. The registered capacity is neither cash in the bank nor proof that every remaining share will be sold. Further sales can support operations while reducing existing holders’ percentage ownership. The June balance sheet also records $73.418 million of ordinary shares payable, principally related to acquisitions and services. The associated potential-share figure in the earnings-per-share note is 23,323,453 at June 30, 2026. This is a commitment with an equity consequence, not the same thing as conventional cash debt and not an extra block to add repeatedly to every other dilution measure. Some obligations depend on the contractual settlement mechanism. Source
Authorized shares were 493,306,494 at June 30, 2026. That figure describes the reported capital authorization at that date, not a promise that future approvals cannot alter it. A financing assessment needs the actual count, the securities still capable of becoming shares and the authority to issue more. None of those alone establishes the eventual denominator or the value created with the proceeds. Source
Shares are also issued outside the ATM. The SQD token purchase from Calamari Digital Ltd., a company majority-owned by Christian Angermayer, who is also the majority shareholder of 5% holder Apeiron Investment Group, closed on July 4, 2026 for 802,499 ordinary shares valued at $2.80 each, about $2.2 million in total. The statements describe the price as negotiated at arm’s length and within the token’s June trading range. Source
A shareholder authority points the other way. At the June 30, 2026 annual general meeting, shareholders approved a capital reduction and a share-repurchase authority for a buyback of up to $300 million. The company said the capital reduction still required UK court approval, which it expected by mid-September 2026, and that repurchases through BTIG would start as soon as practicable thereafter, subject to market conditions and board discretion; the programme carries no obligation to buy any shares. On October 6, 2026 the company announced the court approval and said repurchases are expected to start once the remaining procedural requirements for the reduction to become effective are completed; no repurchase had been reported as of that date, and the going-concern note issued on September 1 lists the ATM, not buybacks, among management’s funding plans. Over the same months the company sold about 13.6 million shares through the ATM. Merlintrader’s reading: while the financing position is unresolved, the repurchase mandate is an authority rather than a use of cash that can be assumed. Source Source SEC filings
Court approval was announced on October 6, 2026. Rezolve said that it had received court approval for the capital reduction, which it describes as an important step in implementing the repurchase programme of up to $300 million. Repurchases are expected to begin only after the remaining procedural requirements for the reduction to become effective are completed, and remain subject to market conditions, available capital, liquidity and capital-allocation priorities. Under the proposed arrangement, BTIG is expected to buy ordinary shares in the market within agreed parameters, with Rezolve repurchasing them from BTIG. The company states that the programme does not oblige it to buy any specific number or dollar amount of shares, may be suspended at any time and will be funded only from legally available funds. The chief executive said the company continues to evaluate non-dilutive funding alternatives and strategic capital initiatives; the release gives no figure for these and does not address the December 31 Monroe maturity. In Merlintrader’s reading, with a going-concern note, a year-end maturity and ATM sales since June, the approval turns an authority into an available tool, not into cash committed to buybacks. Source
The June financial statements disclose 16,737,737 share options outstanding with a weighted-average exercise price of £0.0001. During H1 2026, 16,444,648 options were granted and 12,614,253 were exercised across related parties, employees and other holders. Such nominal-price awards can produce dilution with very little cash received on exercise. Their economics differ substantially from higher-strike warrants whose exercise could supply meaningful funds. Source
The annual report describes an amendment approved by the board on December 12, 2025 and by the remuneration committee on December 18, 2025 that allows the board, once per calendar year, to reserve an additional pool of up to 5% of fully diluted issued and outstanding equity securities using a board-selected calculation date. This is a potential recurring expansion of award capacity. It is not the same as an automatic issuance of the full amount each year, but it is relevant to the future ownership denominator. Source
The Reward transaction added a separate warrant component. On June 4, 2026, certain sellers waived $14.0 million of warranty-retention amounts in exchange for warrants covering 4,670,000 ordinary shares. The waiver reduced purchase consideration by about $10.4 million; $3.2 million of the warrant value was recognized as consideration transferred and $2.5 million as compensation for post-combination services. Meanwhile, the Green Trident warrants associated with Subsquid were cancelled in June. Different instruments have moved in different directions; describing the entire capital structure as warrant-free would be wrong. Source
Merlintrader’s dilution assessment focuses on economic claims and settlement conditions rather than adding every number from the accounts. Options, acquisition shares payable, warrants and convertible notes do not all use the same measurement method. The June EPS table excludes 46,824,710 potential shares, including 12,794,266 warrants, 9,963,657 share options and 23,323,453 shares payable, from diluted loss per share because they would be antidilutive in a loss period; that accounting treatment does not make their future ownership effect disappear. The cash raised, consideration received and resulting per-share benefit remain the relevant tests. Source
Crownpeak closed on December 1, 2025 for approximately $81 million: $50 million in promissory notes and approximately $31 million in shares. This was acquisition consideration, not an $81 million cash payment. Primary source 1.
In the Investor Day panel, Rezolve’s Howe Gu discussed the launch of Rezolve’s proprietary agent models on Foundry. The discussion documents platform availability and the relationship; it does not quantify incremental revenue or a guaranteed financial contribution. Primary source 1.
Google’s August 25, 2026 selection concerns Rezolve’s distributed database technology deployed behind Google Cloud Web3 data infrastructure. It is a specific technology deployment, distinct from the older commercial distribution relationship. The August 28 Tech Mahindra alliance adds consulting, integration and delivery capabilities for enterprise customers. These developments strengthen routes to adoption, but neither announcement supplies a basis for treating the partner’s customer base as Rezolve’s contracted revenue. Source Source
The June 30, 2026 financial statements also disclose future service-purchase commitments with Microsoft, Google and Amazon Web Services, with a reported aggregate of approximately $194 million. These are company spending commitments over their respective multi-year terms, not orders received from the cloud providers. The relationship can be commercially useful on both sides while still requiring Rezolve to fund infrastructure and services. Source
Acquisition integration is another part of the same equation. Reward’s customer and platform relationships expand the potential audience, while Crownpeak broadens the software offering. The useful outcome would be customers buying more of the combined portfolio without a proportionate increase in delivery and administrative costs. Goodwill and acquired intangible assets reflect the price paid and accounting allocation, not freely available money or proof that those benefits have been realized.
Commerce.com is not part of the completed-acquisition base. In its August 6, 2026 statement, Rezolve discussed the strategic case after an earlier rejected proposal and explicitly did not announce a new or amended offer. The statement does not establish a completed transaction. Similarly, the June transfer of Subsquid’s legal ownership did not end consolidation: the interim accounts explain that retained control required the business to remain in the group accounts. The commercial perimeter follows the actual status of each transaction. The July 21, 2026 Zilch partnership, delivered through the Reward platform, is a further distribution arrangement for which the release discloses no financial terms. Source Source Source
The October 5, 2026 Mastercard agreement should be read the same way. Mastercard selected Rezolve under a worldwide, non-exclusive reseller agreement covering conversational commerce, intelligent search and product discovery, catalogue enrichment, personalization, recommendations and cart and checkout orchestration. Source The release itself sets the limits: the agreement “does not guarantee customer orders, minimum purchase volumes or revenues,” and individual deployments, including capabilities, geography and commercial terms, will be agreed through separate statements of work. Term and economics were not disclosed. A global payments partner can widen distribution, which matters for a company whose problem is converting reach into recurring revenue; whether it does will show up only in signed deployments and reported revenue, not in the announcement. The completed October 6 Investor Day does not replace subsequent evidence of signed deployments and reported revenue.
Daniel Wagner’s August 28, 2026 ownership amendment reports 55,029,792 beneficially owned shares, including the overlapping DBLP Sea Cow interest of 50,331,287. Those interests overlap and are not additive. The reported percentages, 13.8% for Mr. Wagner, are calculated by the filers on 398,827,587 shares outstanding at January 21, 2026, so the holdings are more useful here as dated share counts than as a newly calculated ownership percentage. The amendment explains that the increase came from resolution of pre-existing contractual options and an estate distribution. It expressly distinguishes those events from open-market purchases or sales by the reporting persons. A rise in beneficial ownership can therefore occur without an insider deciding to buy stock on an exchange. Treating it as a fresh cash-purchase signal would misdescribe the evidence. In detail, Bradley Wickens exercised a pre-existing call option over 1,566,697 DBLP shares at $1.48 per share, a second call over 2,025,496 shares at $3.00 expired unexercised on August 16, 2026, and the Estate of John Wagner distributed 543,993 shares to DBLP on July 10, 2026 for no consideration, according to the Form 4 filed on August 28. The DBLP figure includes 250,000 shares underlying warrants. Source Source
Other named investors appear in the March 30, 2026 annual-report ownership table, including Igor Lychagov with 35,843,258 shares and Apeiron with 25,097,545 beneficially owned shares. These are historical disclosures with their own definitions and reference dates, not a reconstructed October shareholder register. Later financing and ownership changes can alter both the numerator and the company’s total shares. A later filing adds a holder not in that table: Alejandro Gonzalez reported 30,061,917 shares, 7.5% on the January 21, 2026 share count, as of July 14, 2026, in a Schedule 13G amendment filed on July 20, up from 22,808,171 shares (5.7%) reported as of March 20, 2026 in the original Schedule 13G filed on April 2. The latest reference close on Nasdaq was $2.06 on October 2, 2026. Multiplied by the 416,868,894 shares outstanding at June 30, that gives a market value of about $858.7 million, a Merlintrader calculation that understates the current figure because ATM sales and other issuances after June 30 are not in that count. Nasdaq reported short interest of 42,005,088 shares at the September 15, 2026 settlement date, about 10.1% of the June 30 share count (a Merlintrader calculation) and 2.1 days to cover on Nasdaq’s own volume figures. Earlier settlement dates on Nasdaq’s table: 51,912,522 shares at June 15, 38,040,726 at June 30, 35,942,255 at July 15, 38,918,096 at July 31, 34,824,879 at August 14 and 33,946,966 at August 31. Each figure describes the position on its settlement date and is published with a lag. Source
Short interest describes positioning on its settlement date only. A large short position can increase sensitivity to unexpected financing or commercial news, but it is not a guaranteed squeeze; borrow availability, new share issuance and holders’ willingness to trade all matter. Provider ownership categories, such as float or institutional percentages, use their own definitions and are not reconciled here with individual beneficial-ownership filings.
The first warning sign would be a continuing gap between revenue growth and operating cash collection. The acquired business base can generate a much larger sales total while still absorbing funds. Receivables, deferred revenue and the cash-flow statement help show whether customers are financing delivery or the company is funding an expanding gap. A favorable earnings headline would be less persuasive if ordinary working-capital demands keep increasing.
The second is a financing solution that transfers too much of the operating upside away from existing shareholders. New equity, additional interest or restrictive debt terms can keep the business operating while weakening the per-share outcome. That does not make every financing harmful; the test is whether the capital buys enough time and productive capability to justify its cost. A refinancing announcement needs its terms, not only a statement that discussions are progressing.
The third is a widening difference between adjusted targets and actual obligations. The cost program can make the business more efficient, but earnings adjustments do not pay suppliers or debt principal. The transition needs to appear in customer collections, recurring expense and unrestricted cash. Lower exceptional costs would help, while repeated restructuring or acquisition expenditure would weaken the claim that the enlarged platform is becoming easier to operate.
Rezolve’s opportunity is the conversion of a broader commerce and loyalty platform into repeatable, profitable enterprise business. Its near-term constraint is the financing needed while that conversion occurs. Following the Investor Day, the strongest evidence will come from commercial delivery, a credible debt solution and improved cash conversion. The overall reading remains conditional on those elements progressing together; scale, partnerships and adjusted profitability targets each illuminate part of the story, and none establishes the whole outcome.
The October 6 Investor Day is complete. The remaining dated checkpoints are the Monroe maturity on December 31, 2026; the $20 million promissory-note maturity on April 1, 2027; and the month ending June 30, 2027 for the adjusted EBITDA target. No date has been announced for full-year 2026 results; the 2025 annual report on Form 20-F was filed on March 30, 2026.
