WEBTOON ($WBTN) Stock Hub: Can Disney and Korea Bring Back Double-Digit Growth?

Korea grew 20% at constant currency in the second quarter, the Marvel Comics app is set to launch on November 16, 2026, and a $10.05 million IPO-litigation settlement heads to a December 1 hearing. The open questions are Japan, thin margins and the return on cash now committed to games and adaptations.

$30 million of fund installments still due, about $99.7 million across two RI Games closings, and $328.5 million of goodwill under an annual October 1 test

At June 30, 2026 WEBTOON held $583.1 million of cash and $11.2 million of short-term deposits, with no borrowings. After quarter-end it funded $10 million of a $40 million adaptation-fund commitment and agreed a staged controlling stake in RI Games Holdings: about $33.2 million at a first closing and $66.5 million at a second, milestone-linked closing, with further possible capital calls and a remaining-share buyout payable partly in WBTN stock. Goodwill stood at $328.5 million at June 30. It is tested annually as of October 1; the 2025 cycle produced $336.5 million of impairment losses, $257.2 million of it on Wattpad goodwill. Sources: Q2 2026 Form 10-Q and fiscal 2025 Form 10-K; the contingent amounts are not current liabilities.

Latest updateSeptember 30, 2026 — WEBTOON reported Korea-only ToonRadar anti-piracy metrics, including a 99.8% defense rate for latest paid episodes. These selected-title observations are not global revenue growth. The September 28 settlement notice separately sets a December 1 approval hearing. A Form 8-K of October 5 sets the Marvel Comics app launch for November 16, 2026; no RI Games closing had been found through October 4. Company release.

Constructive

Second-quarter revenue grew 5.2% at constant currency, with Korea up 20.0% and advertising up 11.5%. Disney and Marvel originals can broaden distribution, and about $594 million of cash and deposits with no debt funds the investment phase.

Cautious

Japan fell 6.7% at constant currency and app MAU fell 8.0%. Q3 guidance implies a reported decline against Q3 2025. RI Games adds staged commitments and possible equity issuance while NAVER retains control.

Operating and financial position

June 30 liquidity and staged capital deployment

WEBTOON held $583.1 million cash and $11.2 million short-term deposits at June 30, 2026, with no borrowings, after $18.1 million of first-half operating cash outflow. Q2 adjusted EBITDA was $5.5 million against a $14.6 million GAAP net loss. Subsequent adaptation-fund and conditional RI Games commitments mean this dated cash balance is not wholly uncommitted capital. Q3 guidance is $358–368 million revenue and $0–5 million adjusted EBITDA.

SEC · Q2 2026

Executive summary

WEBTOON combines a recovering Korean comics business with declining Japanese paying users. Disney offers a targeted year-end platform launch, while games and adaptations require new capital before their returns are known. Constant-currency growth improved in Q2, but thin adjusted margins and a GAAP loss keep execution central. NAVER retains voting control, limiting minority influence over allocation decisions.

01What Bulls See

Bull case: FX is hiding real growth, Korea and advertising are accelerating, the balance sheet can fund expansion, and Disney adds a marquee path to a broader platform role.

Every revenue stream grew in constant currency in Q2, and total underlying growth accelerated to 5.2%. Korea’s 20.0% constant-currency growth, higher paying-user conversion and improving ARPPU show that the model can still deepen engagement in a mature market. Advertising grew 11.5% in constant currency, while Rest of World revenue increased 11.1% despite nearly flat paying users.

The company remains debt-free with about $594 million of cash and short-term deposits. Q2 adjusted EBITDA exceeded guidance, gross margin expanded, and management still has room to invest through a weak period without depending on debt markets.

Disney provides a named launch target before year-end, and on September 17 WEBTOON named That Time Deadpool Fell Into WEBTOON as one of the Marvel originals in preparation. AI-assisted tools such as byUs, Cuts Make and auto-translation offer additional engagement paths. If Japan stabilizes, Disney launches well and the Q4 exit-rate objective is reached, the debate can shift from stagnant reported revenue to a multi-engine constant-currency recovery.

Execution against guidance supports the same argument: in both 2026 quarters so far revenue landed inside the guided range and adjusted EBITDA at or above the top of the $0–5 million band ($9.5 million in Q1, $5.5 million in Q2).

02What Bears See

Bear case: reported revenue is still declining, Japan and app engagement are weak, margins are thin, and aggressive capital deployment can consume the balance-sheet advantage without producing durable per-share returns.

Japan remains the largest regional revenue pool and fell 6.7% in constant currency, with MAU down 3.3% and paying users down 9.5%. Global MAU grew only 0.5%, while total app MAU fell 8.0% and webcomic-app MAU fell 1.5%. That mix makes it harder to interpret the consolidated audience figure as a clean improvement in core product engagement.

Profit quality also softened. Adjusted EBITDA fell year over year, marketing spending rose 23.4%, operating loss widened and the GAAP net loss reached $14.6 million. Q3 guidance preserves only a $0-$5 million adjusted EBITDA band, leaving little room for execution misses.

The reported comparison is unforgiving: against $378.0 million of revenue in Q3 2025, the Q3 2026 range implies a reported decline of roughly 2.6% to 5.3%, even with positive constant-currency growth.

Key Red Flags To Monitor

  • Japan recovery: paid-user stabilization and whether higher ARPPU can offset audience contraction.
  • App engagement: the gap between consolidated MAU and the declining app cohorts.
  • Disney execution: launch before year-end, early conversion and disclosed economics.
  • Margin quality: whether marketing investment produces growth or keeps adjusted EBITDA near breakeven.
  • Capital allocation: returns from RI Games and the adaptation fund, future cash installments and possible stock issuance.
  • NAVER control: approximately 59.7% voting power, controlled-company status and related-party decision rights.
  • FX and IP timing: both can create large gaps between reported performance and the underlying run rate.

Securities litigation: terms now public

03Scenario Framework

The following scenarios are descriptive ways to track how the story could evolve. They are not price targets, forecasts or recommendations.

Constructive scenario
Japan stabilizes, Disney lands

Korea and advertising sustain double-digit constant-currency growth, Japan’s paying users stabilize, the Disney platform launches before year-end with credible engagement, and the Q4 exit-rate objective is reached. Gross-margin gains begin to outpace marketing investment, while RI Games expands IP monetization without consuming disproportionate capital.

Pressure scenario
Engagement fades, spending rises

Japan remains in contraction, app MAU continues to fall, and the Disney launch slips or produces limited monetization. Adjusted EBITDA stays near breakeven while cash is committed to games and adaptation projects; contingent funding or share issuance weakens the per-share value of the balance sheet.

What Would Falsify This Reading

This reading of WEBTOON rests on three claims: that constant-currency growth is real and broadening, that Japan can stabilize, and that the cash now committed to games and adaptations will come back as franchise value rather than dilution. Each can be checked against the next filings.

  • Q3 revenue below $358 million or adjusted EBITDA below zero. Both 2026 quarters so far landed inside the revenue range and at or above the top of the EBITDA band; a miss would require examining marketing costs, currency movements, IP timing and underlying demand rather than assigning a single cause.
  • Japanese paying users falling again at a high single-digit or double-digit rate. They fell 9.5% in Q2; a further drop would warrant investigating retention, pricing, competition and implementation; the series alone would not distinguish structural weakness from execution.
  • No Disney platform launch by December 31, 2026. Management placed the launch before the end of 2026 on the August 10 call. A slip into 2027 would remove the most visible catalyst in the story and weaken the case for a double-digit exit rate.
  • A new goodwill impairment from the October 1, 2026 test. With $328.5 million of goodwill still recorded at June 30, a fourth consecutive year of write-downs would show that acquired businesses are still being marked down.
  • RI Games consideration produces dilution disproportionate to realized returns. Evaluate issuance against the contractual revenue and launch conditions. The remaining-share buyout is conditional, and the 19.9% share cap without shareholder approval is a limit rather than a forecast of issuance.

None of these is a prediction. They are the observations that would make this analysis wrong, listed so that a reader can check them rather than take the reading on trust.

04Extended Summary

The balance sheet still provides real protection: $583.1 million of cash, $11.2 million of short-term deposits and no debt at June 30. But it is no longer accurate to describe that liquidity as passive optionality. WEBTOON has committed $40 million to a NAVER-linked adaptation fund and signed a staged RI Games transaction that could require roughly $100 million for the initial 60% stake, with additional contingent funding and possible share issuance.

Since the second-quarter report, company updates have included the September 30 Korea-only anti-piracy analysis, a finance appointment, a Deadpool series announcement and a commissioned audience study; a separate September 28 notice addressed the proposed litigation settlement. The operating debate now waits on the third-quarter report and the Disney launch.

Merlintrader bottom line: Q2 strengthened the evidence that WEBTOON can grow underneath FX noise, but weakened the clean profitability narrative and introduced meaningful capital-allocation risk. Korea, advertising and Disney are the upside bridge; Japan, app engagement and the returns on games investment are the tests.

05Company Overview

WEBTOON Entertainment Inc. is a Delaware-incorporated company that describes itself as a leading global entertainment platform. Its roots are Korean: the WEBTOON format was pioneered inside NAVER, and NAVER spun the business toward a U.S. listing while retaining control. The company priced its initial public offering at $21.00 per share and began trading on Nasdaq under the ticker WBTN on June 27, 2024, with a NAVER subsidiary buying additional shares in a concurrent private placement at the IPO price.

The business is organized around three revenue streams within one reportable segment:

  • Paid Content — by far the largest line, this is readers paying to unlock episodes of webcomics and web novels, primarily through the company’s coin and pass mechanics. It spans Korea, Japan (via LINE MANGA and eBookJapan) and the Rest of World.
  • Advertising — display and in-content advertising across the WEBTOON and Wattpad surfaces.
  • IP Adaptations — licensing and producing film, television, animation and merchandise from the platform’s originals, through studios such as Studio N and Studio LICO. This line is the most volatile quarter to quarter because it depends on project timing.

The company reaches its audience across three big geographies with very different monetization intensity. Japan is the highest-value market per paying user, reflecting a mature, high-spending manga culture; Korea is the home market and the format’s birthplace; and the Rest of World (led by the English-language ecosystem and Wattpad) is the widest but lowest-monetizing footprint. WEBTOON also owns Wattpad, the web-novel platform it acquired years ago, which feeds original stories into the adaptation pipeline.

One structural fact dominates the governance picture: NAVER remains WEBTOON’s majority stockholder. According to the company’s 2026 proxy statement, NAVER holds roughly 59.7% of the voting power (as of the April 10, 2026 record date), which makes WEBTOON a Nasdaq “controlled company.” That status lets it rely on certain governance exemptions, though it keeps a fully independent audit committee. For investors, NAVER is both an anchor — a deep-pocketed strategic parent — and a concentration risk, because its interests will not always align perfectly with those of minority holders.

The relationship is operational as well as financial. The fiscal 2025 Form 10-K describes service agreements under which WEBTOON relies on NAVER for technology, accounting, human resources and marketing functions. In the second quarter of 2026 WEBTOON recorded $24.6 million of revenue from related parties and $28.3 million of cost of revenue incurred with them.

06Competition: Kakao, Shueisha and Every App Fighting for the Same Hour

WEBTOON pioneered the vertical-scroll webcomic, but it no longer has the format to itself. The fiscal 2025 Form 10-K names its direct competitors market by market, and one group dominates the list: Kakao Entertainment.

MarketFormatCompetitors named in the 10-K
KoreaWebcomicsKakao Webtoon (Kakao Entertainment), Kidari Studio
JapanWebcomicsPiccoma (Kakao Entertainment), Jump Toon (Shueisha)
United StatesWebcomicsTapas (Kakao Entertainment), Manta (RIDI)
KoreaWeb-novelsKakaoPage (Kakao Entertainment), RIDI
United StatesWeb-novelsRadish (Kakao Entertainment), GoodNovel, Dreame

The table matters most in Japan, WEBTOON’s largest region by revenue in the second quarter, where it faces both the largest Korean rival and a domestic publisher that owns some of the best-known manga franchises. The 9.5% fall in Japanese paying users does not by itself prove a share loss, since competitors’ figures are not disclosed, but it shows the position is contested on content, marketing reach and distribution.

The 10-K also lists social platforms such as YouTube and TikTok, streaming services such as Netflix and gaming companies as competitors for users’ time. That explains the push into interactive and short-form formats, and the partnerships with some of the same groups: Disney is a shareholder and platform client, Paramount and Blizzard have launched series on WEBTOON, and Netflix carries several adaptations.

The practical test of the moat is the paying ratio: 15.5% in Korea, 9.4% in Japan and 1.5% in the Rest of World in the second quarter. A rising ratio means readers choose to pay on WEBTOON; a falling one is the first sign of erosion.

07The 2025 Reset: Impairments, Thin Margins and a New Baseline

For fiscal 2025 WEBTOON reported revenue of $1,382.7 million, up 2.5% as reported and 3.9% at constant currency. The net loss widened to $373.4 million from $152.9 million, almost entirely because of $336.5 million of impairment losses on goodwill and other intangibles in the fourth quarter. Adjusted EBITDA fell to $19.4 million from $68.0 million. The company reported a 1.5% adjusted EBITDA margin against 5.0%. SEC filing, Exhibit 99.1.

The impairments explain why the trailing GAAP loss per share looks large relative to the business. The 10-K attributes $257.2 million of goodwill impairment to Wattpad, $74.0 million to Munpia, $2.9 million to Wattpad WEBTOON Studios and $1.4 million to Purple Duck. For Wattpad it cites delays in an advertising-platform migration, restructuring and staff losses in its North American advertising division, and lower traffic linked to prolonged service bans in Russia and Turkey and search-related technical problems. It was the third consecutive year of goodwill write-downs, after $69.7 million in 2024 and $63.4 million in 2023.

Read in sequence, constant-currency growth swung from 9.1% in the third quarter of 2025 to a 4.1% decline in the fourth, then recovered to 0.2% and 5.2%. Adjusted EBITDA has stayed in single-digit millions throughout, showing limited adjusted profit while the company funds marketing; the figures alone do not establish how much spending can be removed without affecting growth.

WEBTOON tests goodwill annually as of October 1, and $328.5 million remained at June 30, 2026, against an accumulated deficit of $877.8 million. The outcome of the October 1, 2026 test will normally surface with the fourth-quarter report. An impairment would not touch cash, but a fourth year of write-downs would say something about the acquisitions that built the group.

08Q2 2026 Earnings: Better Underlying Growth, Thinner Profit

WEBTOON reported second-quarter 2026 results for the period ended June 30 on August 10, 2026. Revenue of $338.5 million landed inside the prior $332-$342 million range. Currency obscured the operating trend: reported revenue fell 2.8% year over year, while constant-currency revenue increased 5.2% to an indicated $366.4 million.

Total revenue$338.5M$348.3M-2.8%+5.2%

Gross profit rose to $88.1 million from $87.3 million and gross margin expanded about 90 basis points to 26.0%. That improvement did not reach the bottom line. Marketing expense increased 23.4% to $38.3 million, the operating loss widened to $15.6 million from $8.8 million, and a $6.9 million income-tax expense replaced a small tax benefit in the prior-year period. Net loss widened to $14.6 million from $3.9 million.

Adjusted EBITDA was $5.5 million, above the top of management’s $0-$5 million guidance but below $9.7 million a year earlier; margin contracted to 1.6% from 2.8%. Adjusted diluted EPS was $0.04 versus $0.07, while GAAP diluted EPS attributable to WEBTOON was $(0.11) versus $(0.03). The adjusted EPS result is useful evidence of performance against expectations, but it is not equivalent to GAAP profitability.

Global MAU was 156.9 million, up 0.5%, and monthly paying users were 7.5 million, up 1.8%. Global constant-currency ARPPU increased 2.5% to $12.7. The aggregate audience number needs context: management’s shareholder letter also showed total app MAU down 8.0% and webcomic-app MAU down 1.5%, evidence that the web and product mix helped the consolidated figure.

What Q2 really said: underlying revenue was better than the reported decline and every stream grew in constant currency. Margin and GAAP earnings quality were weaker than in Q1, and Japan is now the clearest operating problem.

The $0.11 diluted loss per share is based on the $15.2 million loss attributable to WEBTOON shareholders, after non-controlling interests; rounded regional subtotals may not sum to the consolidated totals.

The English-language webcomic app grew MAU 3.7% year over year even as total app MAU fell. The combined audience is not a uniform measure of engagement across every product.

The first half in one view

For the six months to June 30, 2026, revenue was $659.3 million, down 2.2% as reported and up 2.8% at constant currency. Adjusted EBITDA was $15.0 million against $13.7 million a year earlier, and the net loss narrowed to $23.4 million from $25.9 million. Underneath, the cost mix shifted toward growth spending: marketing rose to $68.9 million from $62.6 million, while general and administrative expenses fell to $125.9 million from $131.7 million. Stock-based compensation, which is excluded from adjusted EBITDA, was $19.7 million against $25.5 million. Interest income on the cash balance contributed $8.9 million.

The second-quarter adjustments included legal fees for the IPO litigation, severance and fees tied to a strategic restructuring of the Wattpad business, and a penalty from a resolved regulatory matter on foreign-exchange transaction reporting: small sums, but evidence that the Wattpad repair work is still under way.

09Inside the Regions: What Is Working and What Is Not

Korea: the engine

Korea delivered revenue of $138.5 million in the second quarter, up 10.1% as reported and 20.0% at constant currency. MAU rose 5.9% to 24.3 million, paying users 10.4% to 3.8 million and the paying ratio 64 basis points to 15.5%: more readers, a higher share paying and more revenue per payer.

The shareholder letter credits AI-based recommendation and CRM systems, Fan Tier Badges launched in April, the April return of Return of the Blossoming Blade and the May screen adaptation of Legend of the Kitchen Soldier. Two AI tools add a participation layer: Cuts Make, which lets fans create short clips from licensed series, lifted new Cuts content by 136% in its first week, and byUs, a story-chat service built on official characters, raised readers of Ctrl+Alt+Resign by about 67% in its first week, with a Japanese launch planned later in 2026. These are company-reported launch-week metrics, a direction rather than proof of durable monetization.

Japan: the problem to solve

Japan revenue was $150.4 million, down 15.4% as reported and 6.7% at constant currency. MAU fell 3.3% to 21.8 million and paying users 9.5% to 2.1 million, taking the paying ratio down 65 basis points to 9.4%. ARPPU rose 2.9% at constant currency to $24.4, almost three times the Korean level, which is why fewer payers weigh so heavily on group revenue.

Management’s response has three parts. On content, a new Japan content division and Studio White, formed with KADOKAWA and Redice Studio, whose first title, a Record of Lodoss War spin-off, launched in May in nine languages. On product, Chief Product Officer Yuki Chae is directing the roadmap with a focus on Japan. On distribution, LINE MANGA gift cards are now sold through Lawson’s almost 15,000 stores. Whether Japan stops subtracting from the double-digit exit target is the most important operating question for the third-quarter report.

Rest of World: the long-term option

Rest of World revenue grew 11.1% to $49.6 million, both as reported and at constant currency, on MAU of 110.7 million, but with a paying ratio of only 1.5% and ARPPU of $6.9. The region is the proving ground for franchise building: FOG LAND has passed 28 million global views, and a campaign including a Times Square takeover is credited with a lift of more than 40% in organic app installs. Duo Leveling with Duolingo drew 4.5 million views, two Star Trek series launched with Paramount in May and July, and an AI auto-translation program for English-language CANVAS creators has been in beta since May.

Q2 2026 shareholder letter

September 30 update. In a company analysis of selected Korean titles, new purchases rose 7.9 times during the week of the Newtoki shutdown versus the preceding three-week average; the same-day-leaked title group generated 29.7% more revenue over the following three weeks. These are NAVER WEBTOON Korea observations, not global platform growth or a randomized estimate of incremental revenue. ToonRadar company report.

10Balance Sheet And Capital Allocation

At June 30, 2026, WEBTOON held $583.1 million of cash and cash equivalents plus $11.2 million of short-term deposits, for approximately $594.3 million of consolidated cash and short-term deposits, and reported no debt. Q2 operating cash flow was a $6.3 million outflow versus a $5.7 million inflow a year earlier; the first-half outflow was $18.1 million versus $13.0 million.

Shares outstanding increased to 135.7 million from 130.8 million at December 31, 2025. Disney acquired 2.67 million shares for $32.8 million as part of the strategic relationship, generating approximately $32.5 million of net proceeds. This was strategic issuance, but it is still dilution that belongs in the per-share analysis. At $32.8 million for 2.67 million shares, Disney paid roughly $12.3 per share, above the October 1, 2026 reference close of $10.86.

Where the cash went in the first half

Operating cash flow was negative by $18.1 million in the first half of 2026, against $13.0 million a year earlier, even though the net loss narrowed. The gap sits in working capital: receivables rose $23.2 million and other assets $19.6 million, partly offset by an $18.6 million rise in contract liabilities, cash received before the related revenue is recognized. Capital spending was modest at $4.8 million, plus $4.0 million of intangibles, and the $32.7 million net inflow from the Disney private placement shown in the cash-flow statement covered both.

Interest income of $8.9 million in the half shows what the cash earns while it waits; every dollar moved into RI Games or the adaptation fund gives up that yield for a less certain return.

New capital commitments

  • NW Webcomic Adaptation Fund: WEBTOON committed $40 million to a $100 million fund alongside a NAVER affiliate. It had funded $10 million and is scheduled to contribute the remaining $30 million in three annual $10 million installments. The fund is not consolidated, and investment decisions require NAVER affiliate approval.
  • RI Games: an August 6 agreement contemplates acquiring about 60% of the Korean game developer in two closings for an aggregate KRW 150 billion, approximately $100 million. The first closing would buy roughly 20% for $33.2 million; a second $66.5 million closing depends on a commercial-launch milestone.
  • Contingent exposure: after the second closing, WEBTOON may have to fund up to another roughly $33.2 million through capital increases through June 2030. If a revenue threshold is met, the seller can require WEBTOON to acquire the remaining shares for not less than about $66.5 million, partly in cash and WBTN stock. Neither closing had occurred as of the filing.

The balance sheet remains strong and near-term solvency risk is low. The analytical change is that cash now has competing claims. Investors need to judge the return on games and adaptation spending, the timing of cash deployment, and the possibility of further per-share dilution rather than treating the entire balance as idle excess cash.

June 30 cash is a historical balance, not October spending capacity after commitments. Operating lease liabilities were $22.6 million, and shares outstanding were 135,711,070 on July 31.

Any WBTN shares issued for the RI Games buyout are capped at 19.9% of the pre-agreement share count unless shareholders approve more, and a conditional put on the second-stage shares applies if the revenue condition fails. These are contractual contingencies, not current debt or guaranteed dilution, and no closing had been confirmed in a primary source through October 4, 2026.

The RI Games agreement also contemplates an additional conditional capital increase if fiscal 2027–2030 revenue targets are met. Its amount depends on contractual terms, including redacted provisions, so it cannot be counted as a fixed current obligation or an independently quantified maximum.

11The Disney Platform: The Big Forward Catalyst

The October 5 announcement describes more than 35,000 digital comics from Marvel, Star Wars and 20th Century Studios for the new Marvel Comics app, with launch scheduled for November 16, 2026. Company press release (SEC filing). The two companies completed definitive agreements in January 2026, and Disney acquired an approximately 2% equity stake in WEBTOON.

On the Q2 call, management said the platform remained positioned to launch before the end of 2026. WEBTOON also expects an original Disney or Marvel series later in the year. The first announced Marvel originals include Tony’s Girl, a Deadpool series and an X-Men story set in Korea.

The strategic importance extends beyond one product launch. Success would validate WEBTOON as the builder and operator of premium digital-comics services for major third-party IP owners while deepening a relationship with one of the world’s most valuable content libraries. A delay, weak engagement or poor economics would remove the most visible growth catalyst from the story. Launch timing, user conversion, monetization and the cadence of original series are the metrics that matter.

Catalyst framing: the Marvel Comics app now has a November 16, 2026 launch date and published subscription prices, but no user or revenue targets. The event matters; the quality and monetization of the launch matter more.

More than 20 Marvel comics already sit, adapted to the vertical format, in a Disney section of the English-language app, according to the Q2 letter; that section is distinct from the standalone platform in development. On September 17, 2026 the company named That Time Deadpool Fell Into WEBTOON as an upcoming Marvel original. Through October 4, 2026 no launch date or economics for the standalone platform had been disclosed; the October 5 filing described below provides the date and the subscription prices.

The target now has a date. In a Form 8-K filed on October 5, 2026, WEBTOON said it plans to preview the upcoming Marvel Comics app at New York Comic Con, the October 8–11 event already on the company’s calendar. Source The press release furnished with the filing sets the official launch for November 16, 2026. The app, developed by WEBTOON for mobile and web, will carry comics from Marvel, Star Wars and 20th Century Studios, with more from across Disney’s portfolio to follow, under a Base tier at $9.99 a month or $69.99 a year and an Ultimate tier at $12.49 a month or $99.99 a year, plus tax. Source The release gives no user, subscriber or revenue targets, so the economics of the launch remain to be measured.

12Adaptations and Games: What the New Capital Has to Prove

RI Games operates GrayGames and Offbeat; the developer team’s prior work includes MapleStory M and Tower of God: New World, according to the August announcement. SEC quarterly report for the period ended June 30, 2026. SEC filing, Exhibit 99.3 (corporate communication).

IP Adaptations is the smallest revenue stream, $27.4 million in the second quarter or about 8% of the total, and the most uneven: first-half adaptation revenue fell 12.2% as reported and 8.4% at constant currency because recognition depends on project milestones. Yet it is where management is placing its newest capital, on the argument that a licensing model has left too much of the value of its hits with partners.

The evidence that the stories travel is substantial. In the second quarter three live-action WEBTOON adaptations reached Netflix’s Global Top 10 for non-English shows; Teach You a Lesson and Agent Kim Reactivated both peaked at No. 1 and Viral Hit at No. 7. The company also announced an animated adaptation of Lumine, with more than 550 million views, with OuiDo! Productions. WEBTOON does not disclose the revenue it earns per project.

RI Games and the game slate

RI Games Holdings was founded in 2022 by Kevin Tail Han, also founder of Redice Studio, the studio behind Solo Leveling and Omniscient Reader. WEBTOON and RI Games plan multiple games over four years based on Overgeared (1.3 billion global views), Doom Breaker (590 million) and Omniscient Reader (3.05 billion).

The first test is near. The shareholder letter says an Overgeared action MMORPG, developed by GrayGames and published by NEXON, is scheduled for a global launch later in 2026, alongside an anime premiering in October 2026. WEBTOON had not announced a launch date in its own releases through October 4, 2026, and its exposure runs through the RI Games stake, not the publisher’s revenue.

What would make the capital worth it: games and co-financed adaptations that lift readership of the original series, generate disclosed revenue or equity value, and do not require the full contingent funding plus the stock-settled buyout before the slate has proved itself.

The adaptation fund follows the same logic: co-investing with a NAVER affiliate to secure more upside than a licence fee. The trade-off is control: the fund is not consolidated, its decisions need the affiliate’s approval, and WEBTOON’s $40 million is paid in annual installments regardless of individual outcomes.

13Guidance

For Q3 2026, WEBTOON guided to $358-$368 million of reported revenue based on its stated FX assumptions. That translates to constant-currency growth of approximately 0.7%-3.3%. Adjusted EBITDA is expected to be $0-$5 million, or a margin of 0.0%-1.4%.

The guidance points to continued growth at constant currency but a thinner near-term profit band. Management said it expects to return to double-digit revenue growth at the exit of Q4 2026, supported by Korea, advertising, Japan initiatives, Disney and IP timing. That is an exit-rate expectation, not formal full-quarter Q4 guidance, so it should be tracked as a milestone rather than modeled as a guaranteed quarterly result.

How the third-quarter range compares

Against the second quarter, the range requires reported revenue to rise roughly 5.8% to 8.7% sequentially. Against the third quarter of 2025, when revenue was $378.0 million and adjusted EBITDA $5.1 million, it implies a reported decline of about 2.6% to 5.3%, the currency effect at work. A result inside the range would be consistent with the plan; the information will be in Japan’s paying users and in whether marketing spending is still growing faster than revenue.

Returning to double-digit growth by the exit of the year, restated in the August letter, would require a large step-up from the 0.7%–3.3% guided for the third quarter; the Disney launch, the Overgeared releases and IP-milestone timing are the obvious candidates to supply it.

The transcript hosted by WEBTOON confirms the before-year-end Disney target and the expectation of double-digit growth exiting Q4. These remain forward-looking management statements, not realised results. Q2 call transcript →

14Management And 2026 Leadership Changes

Former CTO Chankyu Park’s May 4 advisory agreement provides KRW320 million over 12 months, plus a separate KRW320 million separation bonus; existing awards continue vesting during the advisory term. SEC quarterly report for the period ended June 30, 2026.

Separately, WEBTOON granted 267,720 performance stock units in the first half, linked to relative shareholder return and valued at grant using a Monte Carlo model. These market-conditioned awards are potential equity compensation, not guaranteed issued shares or operating performance. SEC quarterly report for the period ended June 30, 2026. SEC filing, Exhibit 99.3 (corporate communication).

WEBTOON was founded and is led by Junkoo Kim, who serves as Chief Executive Officer and Chairman. The 2026 calendar brought a visible reshuffle of the senior team aimed, in the company’s framing, at sharper execution.

  • New President: In March 2026, WEBTOON elevated Yongsoo Kim to President, effective March 2, 2026, and added him to the board (expanding it from eight to nine directors). He previously served as Chief Strategy Officer and head of the global WEBTOON business.
  • CFO role simplified: Effective April 10, 2026, David J. Lee‘s title changed to Chief Financial Officer from CFO and Chief Operating Officer; he ceased serving as COO and was also named President of Wattpad Corp. effective April 1, 2026.
  • CTO departure: Chankyu Park resigned as Chief Technology Officer effective April 10, 2026, transitioning to an advisory role.
  • Product: the Q2 shareholder letter describes Yuki Chae as recently elevated to Chief Product Officer, directing the global product roadmap with a focus on Japan.
  • Strategic finance: on September 10, 2026 the company appointed Michael Pak as Senior Vice President of Strategic Finance, leading a newly established group that covers investor relations, financial planning and analysis, and corporate finance, and reporting to CFO David Lee. He was previously Chief Accounting Officer at Medable.

Taken together, the moves concentrate operating responsibility and elevate a strategy-and-global leader into the presidency. The CTO exit while a major platform is being built for Disney is worth monitoring, but the changes fit a business trying to shift from growth at any cost to durable margins.

The finance build-out is timely for a company about to consolidate a game developer and possibly issue stock as acquisition currency. Minority oversight is limited by structure: at the June 3, 2026 annual meeting all three Class II nominees, Namsun Kim, Jun Masuda and Isabelle Winkles, were elected, and with NAVER holding roughly 59.7% of the vote, shareholder outcomes are effectively set by the parent. June 4, 2026 8-K (June 3 meeting)

The same October 5, 2026 Form 8-K covers the chief executive’s terms. On September 30 the board approved arrangements for Junkoo Kim, CEO and Chairman, to move his primary residence from Korea to the United States for business operational purposes, with his roles unchanged. The filing lists a NAVER WEBTOON severance payment of KRW 249,648,080 (about $184,175) in October 2026, a relocation benefit of $567,009 payable in January 2027 subject to continued employment, and reimbursement of any extra tax on that relocation benefit arising from dual U.S.–Korean tax residency. An amended employment agreement effective October 1 changes severance for a termination without cause or a resignation for good reason from six months of salary continuation to a lump sum of twelve months of base salary plus a lump sum equal to the target incentive. In a termination within twelve months after a change in control, severance rises from twelve to twenty-four months of base salary, with two times the target incentive and full vesting acceleration of performance stock units at the greater of target and actual performance. Source In our reading, the relocation puts the chief executive closer to the U.S. operations and the Disney partnership, while the richer severance and change-in-control terms are a cost for shareholders to weigh.

16Analyst Coverage

The company’s IR page lists eight covering firms: Deutsche Bank, Evercore, Goldman Sachs, HSBC, JPMorgan, Morgan Stanley, Raymond James and UBS. The coverage list does not include a consensus valuation or establish what the market has priced in. As a dated aggregate only, Finviz showed on October 2, 2026 an average analyst target of $11.17 and a mean recommendation score of 2.43 on its 1-to-5 scale, where 1 is the most positive. Aggregates mix notes of different dates and methods and are not the view of any single house; they are reported here as a description of where published coverage sat, not as a valuation.

17Bottom Line

The useful monitoring list is therefore concrete: Japan paying users, app MAU, Q3 adjusted EBITDA, Disney launch timing and economics, the Overgeared game and anime releases, the Q4 growth exit rate, the outcome of the October 1 goodwill test, and cash deployed per share into RI Games and the adaptation fund. This report is a framework for tracking those variables, not a call to buy or sell.

Merlintrader bottom line: underlying growth improved, earnings quality softened, and capital allocation became a first-order variable. The next re-rating or de-rating will depend on execution, not the size of the cash balance alone.

18Market and retail sentiment

Marketstack reference close on October 1, 2026: $10.86. On the 135,711,070 shares outstanding at July 31, that implies a basic equity value of about $1.474 billion, before non-controlling interests and the RI Games commitments.

The free float is small. Finviz, as of October 2, 2026, reported a float of 22.59 million shares, short interest of 3.73 million shares (3,731,526 shares at the September 15, 2026 settlement date reported by Nasdaq/FINRA) and a short float of 16.52%. Its insider ownership of 83.35% and institutional ownership of 24.60% are third-party classifications with possible overlap, not parts of a pie; NAVER’s control is established by the proxy at 59.67% of the voting power. A short position near one-sixth of a thin float means news can move the price more than the company’s size alone would suggest.

Recent insider filings have been administrative. A Form 4 filed on August 3, 2026, a week before the second-quarter report, by CFO David J. Lee reports 2,954 shares withheld by the company at $9.12 to cover taxes on vesting equity awards, and the filing states that it does not represent a sale. No Form 4 was filed after that date through October 4, 2026.

StockTwits, as of October 2, 2026, showed no current sentiment score for $WBTN. The thin stream has been dominated since mid-August by promotional posts from a claims-filing service about the settlement, plus automated earnings recaps. It reflects non-professional commentary and cannot represent broad investor consensus.
