Third-quarter 10-Q: the first statements after Nasdaq’s equity confirmation
On October 20, 2026 DataMeds announced that Nasdaq, by letter of October 19, confirmed it has regained compliance with the $2.5 million stockholders’ equity rule; the company notes that it may be subject to delisting if it fails to evidence compliance when it files its next periodic report. The next such report is the 10-Q for the quarter ended September 30, 2026, due under SEC deadlines by mid-November, while the terms of Nasdaq’s extension name the annual report for 2026 as the filing by which compliance must be evidenced; the company filed late-filing notices before each of its last two quarterly reports. Separately, the conversion of the May 2026 notes into Series A preferred stock waits on a definitive information statement, the effectiveness of a resale registration and a certificate of designation; the preliminary information statement filed October 9 leaves the mailing date blank. Under the Helomics purchase agreement, a stockholder meeting on the $1.00 convertible note is due within 75 days of the September 11 closing, which points to late November. Key data
Capital structure and control
The resale registration covers about 7.6 times the shares outstanding
The S-1/A filed October 9, 2026 registers up to 34,462,057 shares for resale by selling stockholders, against 4,515,862 shares outstanding at September 28: 21,300,295 tied to the May 2026 notes or the Series A preferred they would become, 8,298,225 PIPE warrants at $7.50, 3,581,394 placement-agent warrants and 1,282,143 shares already issued. The company receives nothing from those resales. A separate letter of intent with Datavault, EOS, Scilex and HealthBridge Advisors targeted roughly 10.4% of the fully diluted company for today’s public holders in its July 29, 2026 version; that letter expired on September 30 and was replaced by a new letter dated October 19, 2026, whose announcements give Datavault’s 19.9% but no figure for existing holders. Recent operating announcementOctober 14, 2026 — REBOOT license. DataMeds licensed U.S. direct-to-consumer rights to a GLP-1 care-management platform and paid with 666,667 restricted shares valued at $2 million; if those shares are worth less than $2 million after 180 days, more shares are owed. The favorable case
DataMeds has removed its largest legacy dispute and says it has rebuilt equity above the Nasdaq floor. The September 11 settlement over the 2023 Wellgistics purchase cost $450,000 in cash and, by the company’s account, extinguished roughly $19 million of balance-sheet liabilities while retiring 364,099 shares. Pharmacy revenue is rising from a small base: Corexa Pharmacy reported preliminary, unaudited September revenue above $1 million, more than 66% above July. The favorable reading is a smaller, cleaner company whose pharmacy, lab and app can grow into the capital structure. Source Source Source
The case against
The adverse reading starts with the balance sheet: $2.46 million of cash against a $33.8 million working-capital deficit and a going-concern warning at June 30. Equity compliance was rebuilt mostly with settlements and stock issued for assets and licenses, not with operating profit. The May 2026 notes convert at the lower of $6.00 and the prior close, with a $1.00 floor that can fall further at mandatory conversion, so a weaker share price produces more shares. A drafted control transaction would leave current holders with about a tenth of the company.
Operating and financial position
The resale registration covers about 7.6 times the shares outstanding
At June 30, 2026 DataMeds reported quarterly revenue of $1.78 million, an $18.4 million net loss, $2.46 million of cash, total liabilities of $52.3 million and a stockholders’ deficit of $19.5 million. Since then it has settled the Wellgistics litigation, bought Helomics for 636,328 shares and a $1.36 million convertible note, converted about $1.5 million of vendor payables into stock and issued 666,667 shares to REBOOT. Those steps underpin its claim of more than $2.5 million of equity. Against them stand $21.1 million of notes convertible from a $1.00 floor and 11.9 million warrants, all registered for resale. Executive summary
DataMeds is a small, loss-making pharmacy, distribution and diagnostics group whose financial survival has depended on financings and settlements. On the positive side, it reports growing pharmacy revenue, a CLIA-certified oncology lab acquired with $1.5 million of cash inside it, a Humana Medicaid coverage policy that names the lab’s ChemoFx test, and an equity position it believes now meets Nasdaq’s minimum. On the negative side, distribution revenue collapsed because the company lacked cash to buy inventory, the going-concern doubt stands, the potential share count is many times the current one, and a pending control transaction plus related-party supply ties with Tollo Health concentrate influence. The third-quarter 10-Q is the first reported test of the equity claim, and the annual report for 2026 is the filing by which Nasdaq’s extension terms require compliance to be shown. October 22, 2026 — New letter of intent replaces the expired July version; Datavault targets 19.9%
DataMeds announced an amended and restated non-binding letter of intent dated October 19, 2026 with Datavault AI, REBOOT Health AI (a subsidiary of Data Health Partners), EOS Technology Holdings, Scilex Holding Company and HealthBridge Advisors. It supersedes the July 29, 2026 letter, which expired on September 30. The plan is to expand the PharmacyChain license with Datavault to cover its healthcare intellectual property (with specified carve-outs), acquire QOLPOM patents from EOS and Scilex on biometric confirmation of home and drone medication delivery and of drug effect, exclusively license Data Health Partners’ patient-goal technology, and acquire a controlling interest in Tollo Health from HealthBridge. DataMeds says its Corexa Health subsidiary has a network of 6,500 independent pharmacies and that the acquired intellectual property is protected until at least 2042.
In a separate release, Datavault AI said it signed a non-binding letter of intent to receive a 19.9% equity interest in DataMeds on a fully diluted basis in exchange for the expanded license, with potential royalties and the right to designate one director. Closing is targeted for Q4 2026 and remains subject to definitive agreements, due diligence, a fairness opinion, a liabilities threshold and Nasdaq requirements, including change-of-control review under Listing Rule 5110(a); DataMeds says a majority of its shareholders approved the draft definitive agreements, subject to management’s due diligence. No stake for existing holders was given in either announcement, and DataMeds warns of substantial dilution to existing stockholders. DataMeds release
October 20, 2026 — Nasdaq confirms regained compliance with the equity rule
DataMeds announced that a Nasdaq Listing Qualifications letter dated October 19, 2026 informed it that it has regained compliance with Listing Rule 5550(b)(1), the $2.5 million minimum stockholders’ equity requirement, after the 8-Ks of October 13 and 16 described the transactions that lifted equity above the threshold. The deficiency dated back to April 13, 2026, based on negative equity of $12,447,801 at December 31, 2025. The company notes that if it fails to evidence compliance when it files its next periodic report it may be subject to delisting. Form 8-K Press release
October 16, 2026 — REBOOT license and Nasdaq equity statement
An 8-K described the exclusive U.S. direct-to-consumer license from REBOOT Health AI for GLP-1 weight-management users, paid with 666,667 restricted shares valued at $2 million; DataMeds also agreed to pay $50,000 toward reconfiguring the platform and to enter into a revenue-sharing agreement. Under Item 3.01 the company said it believes stockholders’ equity exceeds $2.5 million and that it awaits Nasdaq’s formal confirmation. Source
October 13, 2026 — equity confirmation and Helomics cost cuts
An 8-K stated that equity was greater than $2.5 million as of October 13, citing the Wellgistics settlement and the REBOOT license. The same day the company said it had cut corporate management positions to focus workforce spending on commercializing ChemoFx, a chemoresponse test for gynecologic cancers. Source Source
October 12, 2026 — Medicaid coverage policy for ChemoFx
DataMeds said Humana’s Medicaid pharmacogenomics coverage policy, effective July 22, 2026, includes the ChemoFx assay for gynecologic cancers under listed indications. The company noted that the test is not covered under all Humana plans and is a laboratory-developed test not cleared or approved by the FDA. Source
October 1, 2026 — pharmacy revenue update
Corexa Pharmacy recorded preliminary, unaudited September 2026 revenue of more than $1 million, up more than 66% from July. The release attributes the growth to retail customers and the launch of Tollo Health products; Tollo is led by DataMeds’ interim co-CEO. Source
September 18, 2026 — settlement announced
The company disclosed the Wellgistics settlement in an 8-K filed September 17, saying it expected to extinguish about $19 million of liabilities for $450,000 in cash, and announced it in a press release on September 18; the October 16 8-K later put the debt extinguished at about $18.7 million. On September 18 the shares fell from a $5.97 open to a $3.76 close on 15.9 million shares. Source Source Source Source

01 Three scenarios: the balance sheet was repaired on paper, the business has to follow
Bull case — pharmacy, lab and app grow into a cleaner capital structure
The favorable path begins with what has already happened. On September 11, 2026 DataMeds settled the litigation tied to the May 2023 Wellgistics membership interest purchase agreement. It paid $450,000, of which $350,000 bought back and extinguished 364,099 shares, and in its September 17 filing the company said it expected the settlement to extinguish approximately $19 million of liabilities on its consolidated balance sheet; the October 16 filing puts the debt extinguished at about $18.7 million. With the Helomics shares, the REBOOT shares and about $1.5 million of vendor payables converted into stock, the company says equity now exceeds the $2.5 million Nasdaq minimum. Source Source
In the bull case those paper gains are followed by operating ones. Corexa Pharmacy, the retail and compounding pharmacy at the center of the turnaround, reported preliminary, unaudited September revenue above $1 million, more than 66% above July, and pharmacy retail revenue had already risen to $1.59 million in the June quarter from $77,756 a year earlier. Helomics adds a test billed under two dedicated CPT codes and, according to the company, arrived with $1.5 million of cash and no third-party debt. If pharmacy growth continues, ChemoFx volumes rebuild and the Health Lives Here app turns subscribers into prescriptions and lab orders, revenue could start to cover a larger share of costs. Source Source Source Source
The capital structure would also have to behave. If the share price holds well above the $1.00 conversion floor, the May 2026 notes convert into fewer shares, and the PIPE warrants at $7.50 stay out of the money rather than adding stock. Source
Base case — compliance is confirmed, dilution continues and growth stays small
The middle path is the one the filings already describe. Nasdaq accepts the equity evidence or keeps monitoring it, the September 30 10-Q shows higher pharmacy revenue but a continuing operating loss, and cash needs are again met with notes, share issuance and payables converted into stock. Six-month operating cash use was $6.31 million to June 30, 2026, against $2.46 million of cash at the end of the period; financing activity of $9.17 million filled the gap. A company that relies on financing every quarter tends to issue shares at whatever price the market offers. Source Source
In this scenario the pending Datavault, EOS, Scilex and HealthBridge transaction remains unsigned or is restructured again; its letter of intent was rewritten on July 29, 2026 and again in a new letter dated October 19, 2026. Source Source
Bear case — the equity claim fails or dilution overwhelms the operations
The adverse path has two triggers. The first is listing: if the next periodic report does not show compliance, the October 16 8-K says the company may be subject to delisting proceedings. Equity rebuilt through settlements and non-cash issuances can be eroded quickly by quarterly losses; the June quarter alone lost $18.4 million, although that figure included debt-extinguishment charges. Source Source
The second trigger is conversion arithmetic. On the mandatory conversion date the note conversion price resets to the lower of $50.00 and the prior close, with a floor equal to the lesser of $1.00 and 20% of the prior close. The S-1/A table shows that at $0.50 a share the notes alone would convert into about 42.3 million shares, almost ten times the September 28 share count. In that scenario, existing holders own a small fraction of a business that still needs cash. Source
What Would Falsify This Reading
The analysis rests on DataMeds being a financially fragile company whose equity compliance and survival depend on non-cash transactions and future dilution. The following developments would materially change that reading.
- Operating cash generation. A 10-Q showing pharmacy, distribution and lab revenue rising fast enough to narrow operating cash use, without new notes or payables converted into stock, would weaken the fragility thesis. The June 30 statements show the opposite pattern. Source
- Nasdaq’s formal confirmation plus a positive equity balance in the September 30 10-Q. Nasdaq’s written confirmation arrived on October 19, 2026; reported equity above $2.5 million in the September 30 10-Q would turn it into a figure in the accounts. Source
- A capital structure that shrinks rather than grows. Repayment or cancellation of the May 2026 notes, or a definitive Datavault transaction on terms materially better for public holders than the roughly 10.4% target in the July 29 letter of intent (since replaced by the October 19 letter), would change the per-share picture. Source Source
These are observations that would weaken the interpretation, not forecasts of inevitable events.
02 The business: from drug wholesaler to a consumer health platform
DataMeds AI, Inc. is a Delaware holding company headquartered at 3000 Bayport Drive in Tampa, Florida. It was incorporated in 2022, was formerly known as Danam Health, and went public as Wellgistics Health, Inc. in February 2025, when it sold 888,889 shares at $4.50 in a firm-commitment initial public offering on the Nasdaq Capital Market under the symbol WGRX. Those prices predate the 1-for-50 reverse split of May 26, 2026; the exchange page restates earlier trading prices for the split, which is why its 52-week range runs as high as $73.00. On July 22, 2026 the company became DataMeds AI, Inc. and its stock began trading as MEDS. Source Source Source Source
The operating companies came through two 2024 acquisitions. Wood Sage, bought in June 2024, brought the pharmacy and a prescription-hub technology business; Wellgistics, LLC, bought in August 2024, is a 50-state licensed, NABP-accredited pharmaceutical wholesaler that the prospectus says serves more than 5,000 registered pharmacies and over 60 manufacturers. Its portfolio is weighted toward topical generics for dermatology, with oral generics, brands and over-the-counter products making up the rest. Before Wood Sage the company had no revenue. Source
In August 2026 the pharmacy and pharmacy-hub subsidiaries were renamed Corexa Pharmacy and Corexa Tech & Hub under a Corexa Health umbrella, while the distribution subsidiary remained Wellgistics, LLC. Corexa Tech & Hub is the prescription-routing and electronic benefits verification service. In an October 16 release the company described Corexa Pharmacy as a 503A compounding pharmacy, a Corexa Distribution division licensed in all 50 states with a 40,000-square-foot warehouse in Lakeland, Florida, and a network of more than 6,500 independent pharmacies; the October 9 prospectus, which still uses the Wellgistics entity names, gives the wholesaler more than 5,000 registered pharmacies. Source Source Source Source
The September 11 acquisition of Helomics Corporation added a CLIA-certified oncology laboratory in Pittsburgh and the Predictive Oncology contract research business. On top of these assets sits the Health Lives Here consumer app, launched on September 28, 2026 with Tollo Health and NFL Alumni Health, initially for users of GLP-1 medicines. The app routes telehealth prescriptions to Corexa Pharmacy or a pharmacy chosen by the patient and sells Tollo’s medical foods and dietary supplements. Source Source
The branding vocabulary needs separating from the operations. EinsteinRx and PharmacyChain are the company’s names for its AI routing and blockchain platforms; in October it filed the trade names DataMEDS SI and Corexa Health SI, explaining that the U.S. government had begun using the term super intelligence. The revenue in the financial statements comes from dispensing, distribution, care-management services and software fees, not from AI products sold as such. Source Source
03 The next milestones and what would count as a pass
The calendar is dominated by filings rather than product events. The first is the 10-Q for the quarter ended September 30, 2026. Under SEC rules for a smaller reporting company it is due 45 days after quarter-end, which places the deadline on the next business day after November 14, 2026; DataMeds filed late-filing notices before its first- and second-quarter 2026 reports, so a short delay would match its recent pattern. A pass would be reported stockholders’ equity above $2.5 million, a balance sheet that shows the settlement and acquisitions, and pharmacy revenue consistent with the monthly figures released in August and October. Source Source Source Source
The second is Nasdaq. The listing staff granted an extension until October 12, 2026 to evidence compliance with the stockholders’ equity rule, and the company filed its 8-K statements on October 13 and October 16. Nasdaq confirmed by letter of October 19, 2026 that the company had regained compliance; the company notes that it may be subject to delisting if it fails to evidence compliance when it files its next periodic report. Source Source Source Source
The third is the conversion chain for the May 2026 notes. Stockholders holding a majority of shares approved a blank-check preferred stock amendment by written consent on August 25, 2026. That approval becomes effective 20 calendar days after a definitive information statement is sent; a preliminary statement was filed on August 31 and another on October 9, with the mailing date left blank. Once the amendment and a Series A certificate of designation are filed and the resale S-1 is effective, the notes convert into Series A preferred. A pass for existing holders would be conversion at prices well above the floor; a fail would be conversion near it. Source Source Source
The fourth is the Helomics note. The $1,363,672 note converts into common stock at $1.00 a share upon stockholder approval, and the company agreed to call a meeting within 75 days of the September 11 closing. That deadline falls around November 25, 2026; approval would add about 1.36 million shares before interest. Source
Further out, the REBOOT license sets a 180-day share-value test around April 11, 2027: if the 666,667 shares are then worth less than $2 million on a 10-day volume-weighted basis, DataMeds must issue more shares. The May 2026 notes mature on the first anniversary of issuance, May 2027, if they have not converted. Source Source
04 Helomics: what the September acquisition actually brought
On September 11, 2026 DataMeds bought all of Helomics Corporation from Axe Compute Inc., the former Predictive Oncology, for 636,328 DataMeds shares, described as about 19.99% of the shares outstanding just before the deal, and a convertible promissory note with principal of $1,363,672. The note carries 7% simple interest, matures on September 11, 2029 and converts at $1.00 a share, with a full-ratchet adjustment if DataMeds later issues stock below that price. Axe Compute agreed not to transfer the shares or the note for 12 months and to vote with the board for six months. Source
The press release gives a total purchase value of $1.5 million and says DataMeds received the laboratory, its equipment, the Predictive Oncology central-lab business and $1.5 million in cash, with no third-party debt and no unpaid payables beyond normal monthly expenses. Read together with the filing, the consideration was paper and the cash came with the target. Source Source
The operating asset is ChemoFx, a test that exposes a patient’s live tumor cells to chemotherapy agents to help oncologists choose a regimen, currently marketed for gynecologic cancers. It has been commercially available since 1997 and is billed under CPT codes 81535 and 81536. The company cites peak annual revenue above $25 million under prior ownership and notes that historical revenue is not indicative of future results. ChemoFx is a laboratory-developed test and has not been cleared or approved by the FDA. Source
On October 12 DataMeds said Humana’s Medicaid pharmacogenomics coverage policy, effective July 22, 2026, lists ChemoFx for gynecologic cancers in specified situations such as recurrent or treatment-refractory disease, while not all Humana plans cover it. A day later it disclosed cuts to corporate management positions so that workforce spending goes to commercializing ChemoFx, and said it had begun discussions with hospital systems, HMOs, group purchasing organizations and specialty cancer centers about adding the test to their programs. Helomics also controls a repository of more than 70,000 de-identified tumor samples, which the company hopes to use in research collaborations. Source Source
05 Health Lives Here, REBOOT and Tollo: the consumer bet and its related parties
Health Lives Here is the consumer front door the company has been building since the summer. The app launched on September 28, 2026 with Tollo Health and NFL Alumni Health, the health division of the NFL Alumni Association. Initially aimed at people on GLP-1 receptor agonist drugs, it offers telehealth consultations, cash-pay purchases of FDA-approved branded GLP-1 medicines through Corexa’s pharmacy with home delivery, wearables integration, an AI health coach and sales of Tollo’s medical food Forzet and its antiviral products. The company plans to add Long COVID and later cancer patients; direct-to-consumer lab tests through Helomics are described as coming soon, and digital-twin records and a provider network are scheduled for 2027. Source
On October 13 DataMeds signed an exclusive license with REBOOT Health AI, a subsidiary of Data Health Partners, for the U.S. direct-to-consumer use of REBOOT’s care-management platform in GLP-1 weight management. The license excludes selling services directly to healthcare providers, gives DataMeds no source code and no right to modify the platform, and leaves all ownership with REBOOT. DataMeds issued 666,667 restricted shares valued at $2 million, agreed to pay $50,000 toward a reconfiguration expected to cost at least $100,000, and agreed to enter into an agreement to share adjusted gross revenue from the platform. The license runs until the last licensed patent expires, subject to minimum revenue thresholds. Source Source
The press release adds that Data Health Partners, REBOOT’s parent, is in litigation with Teladoc regarding the licensed intellectual property. That case is relevant because the license is the asset DataMeds paid for in stock. Source
Tollo Health deserves the closest reading. The interim co-CEO of DataMeds, appointed on May 20, 2026, is also CEO of Tollo; HealthBridge Advisors is Tollo’s controlling shareholder; and Corexa distributes Tollo products under a wholesale arrangement. Several releases disclose these relationships. Tollo’s products are part of the pharmacy growth cited for September, and HealthBridge is a party to the proposed control transaction, still at the letter-of-intent stage; the July 2026 letter gave it the largest single target stake, about 24.9%, and the October 19 letter’s announcements give no updated figure. Revenue from a related party’s products is still revenue, but investors need the 10-Q’s related-party note to see the terms. Source Source Source Source
On October 16 the company said Corexa Pharmacy intends to fill peptide prescriptions once a proposed FDA interim policy takes effect; that is a plan, not revenue. Source
06 Quarterly results: distribution stalled, pharmacy grew from a small base
Net revenue for the quarter ended June 30, 2026 was $1,779,860, against $7,790,865 a year earlier, a 77.2% decline. For the first half, revenue fell 82.1% to $3,339,423 from $18,654,308. The 10-Q attributes the drop mainly to distribution revenue at Wellgistics, LLC, explaining that liquidity constraints limited the company’s ability to procure and fulfill orders. In other words, the wholesaler could not buy enough inventory to sell. Source
The offset was the pharmacy. Pharmacy retail revenue reached $1,590,367 in the June quarter, from $77,756 a year earlier, and $2,724,783 in the half, from $192,432. That shift changed the mix and the margin: gross profit was $182,204 in the quarter for a gross margin of 10.2%, compared with 6.5% a year earlier on a much larger, distribution-heavy base. Source
The August 17 release framed the same quarter as 14% sequential growth over the first quarter, which is consistent with the filed numbers: the first-quarter 10-Q reported revenue of $1,559,563, of which $1,134,416 came from pharmacy retail sales. Source Since then the company has published monthly pharmacy figures rather than full results: revenue “stabilized above $600,000” in July, according to an August 12 release, and exceeded $1 million in September on a preliminary, unaudited basis. These are pharmacy-division numbers and do not include distribution or Helomics. Source Source Source
Below gross profit the picture is dominated by financing costs and charges. The June-quarter net loss of $18,363,225 compared with $6,672,464 a year earlier; total other expense was $11.0 million in the quarter, including an $8,881,694 loss on extinguishment of debt, of which $8,378,189 arose when the January and April notes were rolled into the May notes, and the company attributes the increase in the loss largely to debt-extinguishment expenses and general and administrative costs. The net loss per share was $7.13 on 2,574,669 weighted shares. For the half, the loss was $26.1 million. Source Source
The full year 2025 sets the context. Revenue was $23.3 million, up from $18.1 million in 2024 because the acquired businesses were consolidated for a full year, but the net loss was $101.3 million. General and administrative expense reached $70.3 million, mostly because of $54.0 million of non-cash stock-based compensation, out of $54.8 million in total, and the company recorded $12.6 million of goodwill and intangible impairments and about $6.0 million of inventory obsolescence reserves. Those items are non-cash, but they show how much equity value was consumed in the first year as a listed company. Source
07 Cash, monthly burn and the going-concern warning
DataMeds ended June with $2,456,373 of cash and equivalents, up from $42,571 at December 31, 2025. The increase came entirely from financing: operating activities used $6,307,328 in the first half, investing in capitalized software used $447,230, and financing activities provided $9,168,360. A simple average of first-half operating cash use is about $1.05 million a month, a calculated figure that would not cover the June 30 cash balance for three months if nothing else changed. Source
The balance sheet at June 30 showed total current liabilities of $39.4 million against current assets of $5.6 million, a working-capital deficit of $33,781,185. Accounts payable alone were $12.6 million, and a further $12.6 million of notes payable sat in long-term liabilities. Total liabilities were $52.3 million and the stockholders’ deficit $19.5 million, after an accumulated deficit of $137.1 million. Source
The company states that these conditions raise substantial doubt about its ability to continue as a going concern within twelve months. Management’s plan in the 10-Q lists the January, April and May 2026 note financings, the reverse split and the proposed transaction with Datavault and its partners, while warning that the contemplated financing may not be obtained. Some of that plan has since advanced: the Wellgistics settlement extinguished debt that the October 16 filing puts at about $18.7 million (about $19 million in the September 17 filing), and, according to the company, Helomics came with $1.5 million of cash. Source Neither step produces recurring cash flow by itself. Source Source Source
Two features of the funding are worth noting. The May 2026 notes carry no interest, which reduces cash cost but shifts the price of funding into conversion terms and warrants. And part of the company’s obligations has been met with stock: about $1.5 million of vendor payables were converted into common shares between July and October 2026, and shares were issued to Silverback Capital under a court-approved Section 3(a)(10) settlement to satisfy creditor claims. Each of these preserves cash and adds shares. Source Source
08 The Nasdaq equity test: how compliance was claimed
On April 13, 2026 Nasdaq notified the company that its stockholders’ equity of negative $12,447,801 at December 31, 2025 did not meet the $2.5 million minimum of Listing Rule 5550(b)(1), and that it also failed the alternative market-value and net-income tests. The company submitted a plan, and on June 9 Nasdaq granted an extension until October 12, 2026. The extension letter required a public report describing the transaction that cured the deficiency and an affirmative statement of compliance. Source Source
The June 12 filing describing that extension rested the plan on the proposed Datavault transaction, for which the company then cited a potential combined asset value of $4 billion and post-transaction equity of about $40 million. That transaction has not closed. What the company eventually cited on October 13 and 16 was a different set of steps: about $1.5 million of vendor payables converted into stock, the 636,328 Helomics shares, the settlement that extinguished about $18.7 million of debt, and the 666,667 REBOOT shares valued at $2 million. A rough reconciliation helps show how narrow the margin may be. Starting from the $19.5 million deficit at June 30 and adding the $18.7 million settlement, the $2.0 million REBOOT shares and the $1.5 million of converted payables gives a calculated positive figure of about $2.7 million before the Helomics equity and before any third-quarter loss. That arithmetic is not a balance sheet; it ignores other movements, and the company has not published a September 30 equity figure. It also explains why the next reported balance sheet matters: the October 16 filing carries the monitoring and delisting-risk statement that Nasdaq’s extension letter required, and the June 12 filing ties the final compliance test to the annual report for 2026. Source Source Source
The minimum bid price is a separate rule and is currently satisfied. Nasdaq cited the company in December 2025 for trading below $1.00, the 1-for-50 reverse split followed on May 26, 2026, and compliance was confirmed on June 9. The stock then closed below $1.00 on ten of the eleven sessions between August 28 and September 14, well short of the 30 consecutive business days that trigger a new notice, before the September rally. 09 The May 2026 notes, the Series A preferred and the resale registration
The financing that matters most for the share count was signed on May 27, 2026. Investors who held the January and April 2026 notes rolled them into new convertible notes alongside $6.5 million of new money, with a 20% original issue discount and warrants. The S-1/A gives the investors’ aggregate principal as $21,132,812.50, or $21,300,292.97 including a $167,480 note issued to the placement agent, which is the basis of its share count; the 10-Q describes $20,323,732 issued under the May agreement, and the next periodic report should settle the exact amount. Dawson James Securities was placement agent and received warrants for 1,418,444 shares on top of its January warrants; under an adjustment provision, the May placement-agent warrants equal 12% of the shares issuable on full conversion of the notes and exercise of the PIPE warrants, so their number rises if the note conversion price is reduced. Source Source
The notes bear 0% interest and mature twelve months after issuance. Before mandatory conversion, a holder can convert at the lower of $6.00 and the prior day’s closing price, with a floor of $1.00. At the October 16 close of $2.63, that formula implies about 8.0 million shares for the full principal, a calculated figure. A 9.99% ownership cap per holder limits stakes at any one time, not total issuance. Source Source
On the mandatory conversion date, the remaining balance converts into Series A preferred at one share per $1,000 of principal, and the price reset described in section 01 applies: the lower of $50.00 and the prior close, with a floor equal to the lesser of $1.00 and 20% of the prior close. The Series A preferred would convert into common stock on the same reset terms, start accruing a 10% annual dividend after six months, added to stated value, carry one vote per share, and entitle holders in a liquidation to the greater of stated value or the as-converted amount. The company has no right to redeem it. Source
The PIPE warrants cover 8,298,225 shares at $7.50 according to the S-1/A (the 10-Q gives 7,914,758), expire on May 27, 2031 and allow cashless exercise. The company can force exercise if the stock trades at 150% of the exercise price for ten consecutive days under certain conditions, and it may cut the exercise price by up to 80% solely to induce a cash exercise. That last feature means the $7.50 strike is neither a fixed hurdle for exercise nor a fixed amount of cash the company would receive per share. Source Source
The S-1/A filed October 9 registers these shares for resale: 21,300,295 tied to the notes or preferred, 8,298,225 PIPE warrant shares, 3,581,394 placement-agent warrant shares and 1,282,143 shares already issued, for a total of 34,462,057. The company estimates 37,695,776 shares outstanding after the offering if every note converted at $1.00 and every warrant were exercised. The registration was not yet effective at its filing date; once effective, holders can sell the converted shares in the market. Source
10 The pending control transaction: from the July structure to the October 19 letter
The deal that has shaped most corporate announcements since May is a proposed combination with EOS Technology Holdings, Scilex Holding Company, Datavault AI and HealthBridge Advisors. The original term sheet of May 20, 2026 contemplated convertible preferred stock as consideration, a combined value of $4.0 billion to be supported by a fairness opinion, a possible name change to DelivMeds AI and a concurrent $2.0 million investment by investors associated with Dawson James. Source
The amended and restated letter of intent of July 29, 2026 changed the structure; it expired on September 30 and was replaced by a new letter dated October 19, 2026 (see the October 22 update in Latest news). DataMeds would acquire or exclusively license QOLPOM / QLPM intellectual property from EOS and Scilex, which the company describes as patents on biometric confirmation of drug consumption and of the recipient of drone deliveries, expand its PharmacyChain license with Datavault to include Datavault AI Health, and acquire a controlling interest in Tollo Health from HealthBridge. On a fully diluted target basis, that July structure gave EOS, Scilex and Datavault about 19.9% each, HealthBridge about 24.9%, Fortitude Advisors about 5% and existing public holders about 10.4%, subject to a capitalization model, liability reduction, financing and conversions. The October 19, 2026 letter, which also adds REBOOT Health AI, superseded it: its announcements confirm only Datavault’s 19.9% and give no figure for the other parties or for existing holders. Source Source
Two readings follow. If the assets are worth what the parties suggest, public holders would own a small share of a much larger company. If they are worth much less, the same percentages mean existing holders give up most of the company for intellectual property whose revenue is unproven. The filings describe the deal as non-binding apart from specific clauses and subject to definitive agreements, due diligence, board and stockholder approvals, financing and Nasdaq requirements; the October 9 prospectus still lists it as a proposed transaction. The letter’s exclusivity period ran through September 30, 2026, extendable only for a renegotiation period tied to due-diligence findings, and lapsed; on October 22, 2026 DataMeds announced a new amended and restated letter dated October 19, while no definitive agreement had been announced as of that date. Source Source
Relationships run in more than one direction. Datavault (see the Datavault AI hub) already licenses PharmacyChain to DataMeds and made the Dream Bowl meme-coin distribution to DataMeds holders; HealthBridge controls Tollo, whose CEO is DataMeds’ interim co-CEO; and Scilex and EOS are the joint sources of the QOLPOM assets. A combination in which the counterparties are also partners and suppliers calls for an independent valuation, which the term sheet anticipated in the form of a fairness opinion. Source Source Source
11 Share count, the meme-coin distribution and what each share represents
The share count has moved quickly and the filings do not always agree. The 10-Q shows 2,836,484 shares outstanding at June 30, 2026, on a post-split basis. An August 14 release said 3,072,633 shares were outstanding. The August 31 information statement gave 3,197,633 shares outstanding at the August 18 record date; the October 9 version gives 4,515,862 for the same date, the figure the S-1/A also gives at September 28, even though 636,328 Helomics shares were issued and 364,099 settlement shares were retired between those dates. The written-consent table in both information statements computes holders’ percentages on the smaller August 31 base: 282,365 shares are shown as 8.8%, which corresponds to roughly 3.2 million shares. Source Source Source Source Source
Adding the 666,667 REBOOT shares to the September 28 figure gives about 5.18 million shares, a calculated number before any October conversions. At the $2.63 close of October 16, that corresponds to a market value of about $13.6 million, on the same basis. The cover page of the third-quarter 10-Q will give an updated count. Source Source Source
Insiders, associated entities and a creditor-settlement counterparty carried the vote. The August 25 written consent was signed by holders of 1,604,920 shares: 50.2% on the roughly 3.2 million-share base the table uses, but about 35.5% of the 4,515,862 shares the October 9 statement reports for the same date. The signers include President and co-interim CEO Prashant Patel with 282,365 shares, Surendra Ajjarapu with 257,645 shares, related trusts and several LLCs, and Silverback Capital, the counterparty to the court-approved creditor settlement, with 125,000 shares. A majority acting by written consent means routine approvals, including the preferred stock authorization, do not require a meeting. Source
The Dream Bowl Meme Coin I tokens are a separate matter. Datavault made a voluntary distribution of 50 tokens per DataMeds share to holders of record on August 7, 2026, paid from September 9. Holders must open a Datavault wallet and sign an opt-in agreement; the company says the tokens carry no equity, dividend or ownership rights, may not have or keep any value, and were listed on the Biconomy exchange in the third quarter. The tokens do not change the company’s balance sheet or the rights attached to its shares. Source Source
12 Market positioning, trading pattern, ownership and short interest
MEDS trades like an event-driven microcap. On September 14, 2026 it closed at $0.8653 on 56,673 shares. The next day volume rose to 65.1 million and the stock closed at $1.62, with the Helomics release issued after that session closed; on September 16 volume reached 188.8 million shares, the price touched $12.31 intraday and closed at $6.07. Within two days it was back below $5, and on September 18 it traded between $6.29 and $3.45. By October 16 the close was $2.63 on 309,463 shares. Source Source
Later news days follow the same shape. The September 28 app launch day traded 33.4 million shares and the October 1 revenue update 34.9 million, with closes of $3.81 and $4.06; both levels faded within days. Spikes in volume on press releases, followed by retracement, are typical of a small float with active short-term trading, and they make any single day’s price a weak reference for value. Source Source Source
Short interest was 525,081 shares at the September 30, 2026 settlement, up from 430,628 at September 15 and 173,986 at August 31. Against the 4.52 million shares reported for September 28, the September 30 figure is about 11.6%, a calculated ratio; average daily volume of 22.5 million in that period put days to cover at one. Source Source
Institutional ownership is negligible. The exchange’s holdings page lists 19 institutions with 68,839 shares, about 1.5% of the shares outstanding, mostly index and market-making firms. Price discovery is therefore driven by retail flows and by the holders of convertible instruments, whose conversion and selling behavior the company does not control. Source
13 Red flags, the next operating test and the overall assessment
The red flags are documented in the company’s own filings. There is a going-concern warning; a working-capital deficit of $33.8 million at June 30; distribution revenue that fell because inventory could not be financed; repeated late-filing notices; a Nasdaq equity deficiency answered with non-cash transactions; convertible notes priced off the daily close with a floor that can fall to 20% of the market price; warrants whose strike can be cut by up to 80%; share counts that differ across filings; and a control transaction in which existing holders would keep about a tenth of the company. Related-party links with Tollo and HealthBridge add a governance layer that the next 10-Q should describe in its related-party note. Source Source Source Source
There are also real operating facts. The pharmacy grew its retail revenue roughly twentyfold year on year in the June quarter, the September monthly figure exceeded $1 million on a preliminary basis, Helomics came with cash and a reimbursable test, and the largest legacy dispute is settled. Source Source Source Source Source
The next operating test is the September quarter 10-Q. It should show the first consolidated Helomics weeks, the pharmacy revenue behind the monthly releases, the accounting for the settlement, the cash balance after Helomics and the reported equity, with the October REBOOT license appearing only as a subsequent event. A company that can show positive equity, growing revenue and a slower burn in that report is in a different position from one that again needs a late-filing notice and new financing.
The overall assessment is that DataMeds is a high-risk restructuring story. The value of each share depends less on the AI branding than on three numbers: how much cash the operations consume, at what price the notes convert, and what share of the company public holders keep if the Datavault transaction closes. This is a description of the risks and evidence, not a view on whether to own the shares.

Is DataMeds AI the same company as Wellgistics Health?
Yes. Wellgistics Health, Inc. changed its name to DataMeds AI, Inc. effective July 22, 2026, and its Nasdaq symbol changed from WGRX to MEDS. The SEC registrant is the same, CIK 0002030763. Per-share figures before May 26, 2026 must be adjusted for the 1-for-50 reverse split. Source Source
Has DataMeds regained Nasdaq compliance?
Yes, according to Nasdaq’s letter of October 19, 2026, announced by the company on October 20: DataMeds has regained compliance with Listing Rule 5550(b)(1), the $2.5 million minimum stockholders’ equity requirement. The company notes that it may be subject to delisting if it fails to evidence compliance when it files its next periodic report. Source
How many new shares could the May 2026 notes create?
It depends on the price at conversion. Before mandatory conversion the price is the lower of $6.00 and the prior close, with a $1.00 floor; at $2.63 that implies about 8.0 million shares for $21.1 million of principal, a calculated figure. At mandatory conversion the floor can fall to 20% of the prior close, and the S-1/A shows about 42.3 million shares at $0.50. Source
Did the Helomics acquisition cost DataMeds cash?
No cash consideration is described. The company issued 636,328 shares and a $1,363,672 note convertible at $1.00, and the press release says Helomics came with $1.5 million in cash and no third-party debt. Source Source
Is ChemoFx FDA approved?
No. ChemoFx is a laboratory-developed test that has not been cleared or approved by the FDA. It is billed under CPT codes 81535 and 81536 and is included in a Humana Medicaid coverage policy for gynecologic cancers under specified indications. Source Source
Do the Dream Bowl tokens give rights in DataMeds?
No. The company describes them as digital collectibles that confer no equity, voting, dividend or ownership rights and may not have or keep any value. Datavault distributed 50 tokens per share to holders of record on August 7, 2026, subject to opening a wallet and signing an opt-in agreement. Source Source
What would existing holders own after the Datavault transaction?
The July 29, 2026 letter of intent targeted about 10.4% on a fully diluted basis, with EOS, Scilex and Datavault at about 19.9% each, HealthBridge about 24.9% and Fortitude about 5%. That letter expired on September 30 and was replaced by a new letter dated October 19, 2026: the October 22 announcements confirm Datavault’s 19.9% target but give no figure for existing holders, and DataMeds warns of substantial dilution. The deal still requires definitive agreements and approvals. Source

Healthcare services, pharmacy and diagnostics companies carry reimbursement, regulatory, execution and financing risks. Coverage policies can change, laboratory tests and compounded products face regulatory limits, and acquisitions may fail to produce the expected returns. Small companies with going-concern warnings frequently raise capital through convertible securities and share issuance that can heavily dilute existing shareholders, and listed companies that fail exchange standards can be delisted. Investors can lose part or all of their capital. Every reader is responsible for their own decisions and should consult a licensed financial adviser where appropriate.
