Red Cat $RCAT, $KTOS, $AVAV, $ONDS: Europe’s Buildout

Illustrative cover.

The central question

Europe is appearing in the October plans of four US-listed defense groups through very different business arrangements. Red Cat wants to acquire an Austrian engine manufacturer. Kratos has completed a European flight milestone with Airbus. AeroVironment is exploring local support in Spain. Ondas has announced a European component order supported by production in Poland.

The shared question is who controls the industrial capabilities needed to serve the customer over time. Ownership, partnerships, local maintenance and component supply offer different routes. Their commercial maturity is different too: a proposed acquisition, a flight test, an exploratory memorandum and an order carry different obligations and different remaining risks.

01. Four routes into the European industrial base

The investment case for an international defense business depends on more than the location of its headquarters. A customer may need local support, accessible manufacturing, control over software or a dependable source of specialized components. Companies can meet those needs by owning facilities, collaborating with an established partner, building a service relationship or supplying a specific part of a larger program.

October’s announcements make those choices unusually visible. They also show why a broad claim that a company is expanding in Europe needs to be translated into a precise business arrangement. Buying a company changes ownership and capital allocation. A technical collaboration divides responsibilities. A support memorandum establishes a route to future work. A purchase order identifies commercial demand for a defined deliverable.

AeroVironmentSpain support memorandumExploratory collaborationDefined support work and commercial agreements

These are four ways to build a market position, not four equivalent European revenue streams. The practical value of the comparison lies in understanding which uncertainty each announcement has reduced and which obligations it creates next.

02. Red Cat: a proposed industrial acquisition in Austria

On October 19, Red Cat announced a proposed voluntary public purchase offer for Steyr Motors at EUR39 per share in cash. Its stated rationale connects Steyr’s engine technology, manufacturing expertise and European operating base with the Blue Ops maritime strategy. The proposal also includes an intention to preserve Steyr’s Austrian headquarters, manufacturing operations and research presence. Offer announcement.

The industrial logic is broader than acquiring a component for one product. An engine manufacturer brings engineering processes, production relationships and existing customers. Those capabilities can become a platform for additional work if the buyer preserves what customers value and develops the new applications successfully. That is the opportunity described by the proposed combination, rather than an integration outcome already achieved.

There is a corresponding allocation problem. A supplier with an existing customer base must continue serving those customers while supporting the buyer’s new priorities. Product development, manufacturing slots and management resources need to accommodate both. Owning a capability can improve access, but it also makes the owner responsible for investment, operating performance and the consequences of integration decisions.

The deal remains conditional. The announcement identifies a minimum acceptance condition of 50% plus one share and regulatory approvals in Austria, Italy, Australia and the United Kingdom. The expected end of the acceptance period is December 18, 2026; that is a tender timetable, not a guaranteed closing date. The support of an anchor shareholder reduces one uncertainty but does not remove the other conditions. Transaction conditions.

For shareholders, the next evidence is therefore procedural and industrial: the final offer documentation, progress through the conditions, financing implications and, if completed, the plan for retaining customer relationships while developing the maritime opportunity. A transaction can be strategically coherent before its economic return is established. Continue with the Red Cat Stock Hub.

03. Kratos: a partnership in which European control is part of the product

Kratos and Airbus announced completion of the first European U740 Valkyrie flight on October 12. The release presents the aircraft alongside a European mission-system approach, with a goal of a combat-ready system by 2029. European program update.

The commercial significance is the division of responsibilities between partners. An established aircraft design can be paired with a mission system intended to satisfy European requirements for control over software, data and applications. That allows the partnership to address a customer need that extends beyond the performance of the airframe itself.

For an investor, the next question is how those responsibilities translate into contracted work. A successful flight is evidence of technical progress in the tested configuration. It does not reveal the final production quantity, the timing of all customer commitments or the lifetime economics allocated to each partner. Those will depend on the program and the agreements that follow.

The 2029 objective also gives the story a longer horizon than the next earnings release. Development can advance while customer procurement remains uncertain, and the cost of maintaining the program continues during that interval. A useful update would connect technical milestones to defined customer requirements, program funding and the anticipated production or support role.

The partnership route differs fundamentally from Red Cat’s proposed acquisition. Kratos is combining capabilities with another company rather than buying the entire European operating base described in the announcement. This can offer access and specialization while leaving coordination, interfaces and commercial allocation as continuing execution tasks. The Kratos Stock Hub covers the broader group beyond this individual program.

04. AeroVironment: the value of keeping a customer's equipment usable

AeroVironment’s October 14 memorandum with Alpha Unmanned Systems concerns support for JUMP 20 in Spain. The companies intend to explore training, maintenance, sustainment and technical support, with possible expansion into other European and Latin American markets. The parties are at the exploratory collaboration stage, with commercial scope to be developed. Spain memorandum.

This is a different part of the defense business from selling the initial platform. Customers need equipment to remain usable, personnel to be trained and technical problems to be resolved during its service life. A local partner can make those activities more accessible. The economic opportunity depends on the size and needs of the customer base and on the actual services contracted.

There are at least three questions before the relationship can be modeled as a recurring business. What work will each party perform? Which customer arrangements will fund it? What resources are needed to provide dependable support? The answers determine whether the collaboration becomes a modest service arrangement, a broader regional capability or an initiative that remains exploratory.

The distinction also matters for time horizons. A memorandum can be signed relatively quickly, while building a functioning support relationship requires commercial scope, training, staffing and coordination. A future agreement identifying the customers or the defined work would be more informative than repeating the possibility of geographic expansion.

The comparison with the other companies is useful because support can become strategically important without an acquisition or a new aircraft. The opportunity is to help customers maintain the value of an installed platform. It remains necessary to establish who pays, for what service and over what period. 05. Ondas: a defined order inside a larger European program

Ondas announced a $56 million order for specialized components on October 5, tied to a European program and supported by its production operations in Poland. The announcement followed the GATE and Bron acquisitions and provides a commercial example of capabilities acquired through the group’s expansion. European order announcement.

This arrangement has a disclosed order value, which makes its commercial stage different from the Spanish memorandum or the European flight milestone. However, the financial return still depends on executing the work: material availability, production quality, delivery schedules and costs determine how much value the supplier retains.

A component supplier can participate in a much larger program without owning that entire program’s revenue. That narrower role can be attractive if the component is needed repeatedly and production is reliable. It can also create dependence on a limited set of customers, configurations or purchasing schedules. The announced order supports the current demand case; potential recurring program business remains an additional opportunity.

The location of manufacturing gives this example its European relevance. Local operating capacity can help a supplier participate in regional industrial relationships, but geography alone is insufficient. The customer still needs the required product, acceptable performance and dependable delivery. An acquired manufacturing base must earn its position through those practical outcomes.

For Ondas, the European opportunity connects a specific customer commitment with a production footprint developed through acquisitions. The Ondas Stock Hub provides the wider portfolio context.

06. What changes when capabilities cross a border

The four routes create different forms of dependence. An acquisition brings ownership but also responsibility for preserving an operating business. A partnership can combine complementary capabilities while requiring agreement on responsibilities and interfaces. A local support arrangement may build customer relationships gradually. A component order can create a more immediate workload while leaving future program volumes uncertain.

These differences affect how shareholders should read the next announcement. For Red Cat, an approval or acceptance milestone would advance the transaction. For Kratos, a funded program step would answer a different question from another successful test. For AeroVironment, defined customer work would move beyond the exploratory framework. For Ondas, accepted deliveries and follow-on demand would provide evidence about the durability of the supply relationship.

The broader opportunity is an industrial network that can serve customers over a long equipment life. Its costs include coordination, investment and the need to satisfy different requirements. Benefits can accrue to several participants rather than only to the company whose brand appears on the finished platform. That makes the location of expertise, control and service capability a useful lens for comparing these businesses.

07. The calendar separates near-term decisions from longer development

Red Cat’s proposed offer creates a near-term transaction timetable, with an expected December 18 acceptance deadline and conditions still to be satisfied. Kratos’ European objective reaches to 2029, with further development and commercial decisions in between. AeroVironment’s memorandum opens a route whose commercial dates will depend on subsequent agreements. Ondas has announced an order whose execution should be followed through delivery and financial disclosures.

A constructive outcome would be a completed and well-integrated acquisition, a partnership that earns defined customer commitments, a support framework that becomes contracted services, and a component program that generates repeat demand. The adverse possibilities are equally specific: a transaction that fails or absorbs more resources than expected, development without sufficient procurement, a memorandum that remains dormant, or an order whose production economics disappoint.

The new European defense story is therefore a comparison of industrial arrangements. The strongest future evidence will show which capabilities customers commit to buying, how the suppliers organize delivery and how durable the relationship becomes. The four October announcements provide starting points at different stages of that process.
